Frank Gerhard is a partner of the firm. His practice focuses on M&A, private equity and capital markets transactions. He is experienced in a broad range of transactions, including takeover offers, buy-outs and initial public offerings. In addition, he advises companies on corporate governance matters and stock exchange regulations. He is an authorized issuer’s representative at the SIX Swiss Exchange. He is also a member of the executive board of a leading periodical on corporate and capital markets law (GesKR).

Recent transactions include assisting Dufry AG in its cross-

border triangular merger with the Brazilian-listed Dufry South America Ltd and simultaneous listing in Brazil (the first cross- border merger among listed companies in Switzerland); Uster Technologies AG in its private investment in public equity (PIPE) transaction with Toyota Industries Corporation (PIPE with equity investment > 10%); and MMA Vie SA in its takeover offer for Harwanne (the first takeover offer under the new rules granting shareholders legal standing in takeover procedures). Dr Gerhard is listed as a leading individual in legal guides

such as Chambers Europe and Legal 500. Recent publications include articles on legal pitfalls in company valuations, PIPEs, exit of private equity investments, spin-offs and cross-border triangular mergers. Dr Gerhard holds a Swiss doctorate (Dr iur) and an LLM from Columbia Law School. He is fluent in English, German and French. He has also worked with a law firm in New York.
