Steve Ashbourne is a senior securities partner in Blakes’ Toronto office, specializing in innovative Canadian transactions and novel securities offering structures. Over 20 years in practice, Mr Ashbourne has been involved in many firsts and leading transactions in Canadian securitization, derivatives, structured products and capital markets. These have frequently involved taking ideas developed abroad and adapting them for application in Canada. To do this, Mr Ashbourne has developed a deep understanding of the key ingredients that shape Canadian transactions, including tax, insolvency, governance, securities and commercial law, as well as Canada’s accounting and regulatory capital regimes. He is frequently retained on the most challenging projects. For example, he played a leading role for investors of asset-backed commercial paper restructured as part of a uniquely Canadian solution to a C$35 billion market meltdown in 2007. Mr Ashbourne pioneered many of the expedited offering rules commonly used to offer asset-backed securities and derivatives in Canada’s capital markets, including acting for Canada’s securities regulators to develop those rules in 2000. Since 2006, Mr Ashbourne has acted to form and implement an alternative trading system, known as Alpha, which has become a leading marketplace for Canadian equities. He has acted in connection with some of Canada’s largest M&A transactions, with a particular emphasis on financial services businesses. Mr Ashbourne commonly represents the largest and most prestigious players in Canadian transactions for important and complex projects. He frequently lectures and writes on securities and structured finance topics. Mr Ashbourne has served on several advisory committees established by Canada’s securities regulators and accounting standards setters to develop and refine the rules under which novel transactions are implemented and reported. He is listed in The Canadian Legal Lexpert Directory as one of the leading lawyers in Canada.
