Banking & finance/capital markets &

investment funds: This is a core competence of NKF. Our specialist team of 30 lawyers is recognized as a leader in this field by all relevant independent league tables. We cover international and domestic banking, securities and investment funds law, equity transactions and debt products across the credit spectrum. In the past 12 months we confirmed our position as market leader, securing instructions from the Swiss Confederation, sophisticated foreign investors (including sovereign wealth funds), large corporates and essentially all major Swiss and foreign financial institutions active in Switzerland.

Corporate & commercial: Our team comprises more than 30 specialist lawyers covering the full range of corporate and commercial law, including competition, employment and real property law. Notably, 2009 was an outstanding year for our M&A practice and numerous landmark deals attested to our leading position in complex domestic and cross-border transactions. In 2009 NKF was involved in nearly 50% of all Swiss public

takeover matters, including the multibillion- franc tender offer for SIX listed company Jelmoli, the largest Swiss public takeover of the year. NKF further advised France Telecom in the largest private M&A deal of the year: the combination of Orange Switzerland and Sunrise to form the leading nationwide alternative telecommunications services provider. NKF also advised on the largest corporate reorganizations in recent years, including the corporate redomiciliation of NYSE-listed insurance giant ACE to Switzerland, the split of SIX listed Jelmoli into two listed companies in 2009 and the cross- border mergers of Irish-listed IWS and Swiss- listed Hiestand to form SIX-listed ARYZTA.

Dispute resolution & regulatory enforcement:

We regularly represent and advise clients on critical corporate, commercial and regulatory disputes before courts, arbitration panels and governmental authorities. One of our key specialties is complex, multilayer banking, M&A and commercial contracts litigation and arbitration. We also have broad expertise in connection with administrative proceedings and judicial assistance. A number of our cases have received unprecedented national and international media coverage. Our litigation and arbitration team, comprising more than 25 lawyers, is a leader in its field.

Private client: Our core private client team comprises eight lawyers with Swiss and international qualifications. Its partners rank among the top in their field of expertise. The team advises domestic and international clients on all matters in relation to estate planning, inheritance, succession and marital property law matters. These services include planning, implementing, supervising and administrating all types of wealth holding, wealth transfer structures and estates. We also advise on inheritance and/or matrimonial agreements, trusts, private and charitable foundations and other legal structures. The private client team has attorneys at law who represent clients in domestic and cross-border disputes, litigation, arbitration and mediation involving private clients and their families.
