Aspire Global to Acquire BtoBet for €20m EMEA


Aspire Global has announced the signing of an agreement to acquire 100 per cent of the shares of B2B sportsbook provider, BtoBet


Te agreement comprises of a purchase price of €20m in cash, broken down into €15m at closing and €5m 12 months after closing.

UK – The Betting and Gaming Council is urging the UK Chancellor to modernise payment rules to protect casinos from closure. Some of London’s high end casinos, including iconic venues such as Les Ambassadeurs Club, Crown Aspinalls London and Crockfords Club, are seeking to replace outdated cheque transactions, and enable international big spenders to settle with one transaction at the end of their trip.


The BGC are working with the casinos and have warned the UK Chancellor that eight high-end casinos in London are at risk of permanent closure unless the Government modernises the law, which effectively forces big spenders visiting the UK to use cheques in order to be able to play.


Combined, the casinos employ 1,350 workers and contribute around £150m a year in tax to the Treasury, as well as generating £188m for London’s GDP and at least £120m in additional tourism spend in the capital.


Processing cheques has become increasingly expensive and an outdated mode of payment and the casinos have called on the Chancellor to let them provide a fully-regulated funds advance facility to players from abroad, to enable them to settle with one transaction at the end of their trip – something they are currently barred from doing.


ITALY – Vermantia has signed an agreement to provide global racing content to SISAL, a national operator in Italy. With the Italian complementary racing schedule (Palinsesto Complementare) in place, SISAL is the first operator to take advantage of the expansion in gaming regulation, while also through Vermantia’s A-TV channel, the operator is elevating its offering, providing an ever-widening range of international horse racing content to players in Italy.


SISAL’s deal with Vermantia sees the adoption of the solutions provider’s A-TV racing channel for the operator’s entire retail and online network. The bespoke channel features a daily schedule of action-packed horse racing from tracks around the world, including the UK, Australia, New Zealand, India and South Africa, available from Vermantia and Arena Racing Company, the largest racecourse group in the UK as well as their international partners. With Vermantia to set up, broadcast and operate the A-TV channel on behalf of SISAL’s retail estate and online channel, the operator takes advantage of the provider’s low latency streaming, utilising the latest in broadcasting technology. As part of the A-TV service, SISAL receives a fully customised, unified data feed encompassing A-TV’s live content from across the globe, greatly expediting time-to-market for the operator.

Aspire Global has announced the signing of an agreement to acquire 100 per cent of the shares of B2B sportsbook provider, BtoBet. Te agreement comprises of a purchase price of €20m in cash, broken down into €15m at closing and €5m 12 months after closing. In addition, there is an additional consideration based on BtoBet’s performance two years after closing. Tis consideration is seven times BtoBet's EBIT in the second year from closing date minus the purchase price of €20m.

Kansspelautoriteit outlines important steps for Koa licensing

Dutch gaming regulator Kansspelautoriteit (Ksa) is on track to process licence applications from providers of online games of chance from March 1, 2021’ according to René Jansen, Chairman of the board.


Te Remote Gambling Act will enter into force on March 1, 2021. As soon as the law comes into force, the Ksa can process licence applications from online providers.


Te Ksa will process these applications over a six month period. Te market for online games will open to providers with a licence on September 1, 2021. It remains prohibited to offer games of chance without a licence.

In 2019, BtoBet had revenues of €4.4m and an EBITDA of €1.5m and in the first six months of 2020 revenues were €3.1m and EBITDA €1.2m. Te transaction is expected to be closed during Q4 2020 with material positive effect on Aspire Global’s EBITDA as of 2021.


Te acquisition is not expected to have any material effect on the financial results in 2020. BtoBet is headquartered in Gibraltar and has almost 100 employees, the majority of which are based in the offices in Italy and North Macedonia.


Te company is a provider in Latin America and Africa and with the acquisition Aspire Global can broaden presence in Europe and the US.


René Jansen said: "Te Ksa has already taken steps to make licensing possible. For example, the Central Register of Exclusion Games of Chance(Cruks) has been developed and transferred to a managing party.


Furthermore, the Control Database, the instrument with which game providers monitor gaming behaviour and with which the Ksa can supervise remotely, is almost ready. Once the required notification process has been completed at the European Commission, the Ksa will publish the technical conditions.


A fourth important step that has been taken is the development of a (draft) scheme for the inspection of the gaming system of online games providers. Tat is now being tested; the final version of the inspection schedule is expected to be announced by the Ksa in November.


Belarus


GrandCasino.by, the Belarus- operating online casino, has integrated gaming solutions from BetConstruct.
