CHILE OPERATIONS Enjoy and Dreams Merger Investigated
Chile’s National Competition Authority (FNE) has put the merger between the country’s two largest casino operators, Enjoy and Dreams, on hold.

Along with many other premium NOVOMATIC gaming solutions that were on display in Lima, such as various cabinets, new game-mixes and Progressives, as well as the myACP casino management system, the NOVOMATIC booth also hosted a multitude of heartfelt reunions of business partners and friends as well as lively business activity.
Chile’s National Competition Authority (FNE) has put the merger between Enjoy and Dreams on hold. Te FNE said that in order to investigate its effects on the market that it would need a further 90 days to investigate and analyze the merger. Te FNE said that the investigation had begun on May 3 2022 after initially finding that the merger could possibly reduce competition in the market and have a negative effect on consumers as well as other casino operators.
In a statement the FNE said that it had preliminarily concluded that the new operation “could generate some risks of a unilateral nature, both exploitative to consumers and exclusionary of other casino operators, as well as coordinated risks between market operators, by providing the merged entity with the ability and incentives to reduce the quality of certain competitive variables in gaming services.”
Consequently the Chilean antitrust agency determined to extend its analysis for up to an additional 90 business days arguing that should the merger go ahead “it could substantially reduce competition."

Te Brazilian government plans to implement rules whereby foreign companies that operate online sports betting and offer their services in Brazil would need to establish a headquarters in Brazil so that they pay more tax.
Based in Brazil, companies would have to pay at least the Personal Income Tax (IRPJ), the Social Contribution on Net Profit (CSLL), the Social Integration Program (PIS) and the Federal Social Security (Cofins) tax.
President Bolsonaro and Chief of Staff of the Presidency of Jair Bolsonaro Ciro Nogueira, gave details of the proposal in a meeting with members of the evangelical caucus in Congress. And while this group of parliamentarians is opposed to any form of gambling, they agree with the government's
plan, because they understand that it would be very difficult to block sports betting websites from operating in the country.
Evangelical deputy Sóstenes Cavalcante, leader of the caucus, said: "We understand that, since it exists and since we have no way of stopping it, let it be legalised and taxed."
Lawmakers are concerned that the wording of the provisional measure would be modified in Congress to include other types of games, such as casinos, bingos and betting. Sóstenes Cavalcante said: "I am against each and every one of the games of chance, including this one (sports betting on the Internet). What we don't want is to take advantage of a situation like this and approve casinos, bingo halls and other things.”

Te FNE said that any third party that had an interest in the merger operation between Enjoy and Dreams, whether they were suppliers, competitors, or customers, could come forward with background information for the investigation within 20 business days.
In January Enjoy S.A and Dreams S.A - the two largest casino operators in Chile – announced that they had finalised their agreement to merge the two companies. In a presentation to shareholders the firm highlighted that the merged company -which will be called "Dreams Enjoy SA,"- would consolidate itself as a leader in the casino industry in Latin America, with a presence in Chile, Uruguay, Peru, Argentina, Colombia and Panama. If approved Enjoy will be the legal surviving entity. Dreams’ shareholders will receive approximately 64 per cent of the merged company, while Enjoy’s shareholders will retain the remaining 36 per cent.

EGT Peru will install 300 Premier Series cabinets equipped with Collection Series multi-games with one of Peru’s ‘ local players.’ It marks the second major deal with a Peruvian operator in just a few months.
