Aristocrat to Acquire NeoGames for $1.2bn
NeoGames has entered into a definitive agreement to be acquired by Aristocrat Leisure for approximately $1.2bn.

Bulgaria - SlotMatrix secures RGS certification EveryMatrix has secured certification for its SlotMatrix RGS casino content in Bulgaria enabling it to offer in-house and third-party studio games in the market.
SlotMatrix games from EveryMatrix studios including John Daly Spin it and win it, Hot Hot Honey, Sweet Gems, Mythological Mayhem, and more will be available to Bulgaria licensees such as existing EveryMatrix customer Kaizen, as well as aggregator partners including EGT Digital who will distribute SlotMatrix content to its network of operators.
Sweden - Gaming Corps receives licence Gaming Corps has received permission from the Swedish Gaming Authority to manage gaming software in its native Sweden. The licence will be valid for five years, meeting the requirement that all gaming software suppliers must hold a licence by 1 July to offer their services in Sweden.

Switzerland - L&W enters Swiss market Light & Wonder has signed a deal to launch its licensed OpenGaming aggregation platform with Switerland-based casino operator Grand Casino Luzern.
Grand Casino Luzern dominates the Swiss online casino market with mycasino since its launch in August 2019. The new deal is Light & Wonder’s first within the regulated Swiss iGaming market, which according to the Swiss Federal Gaming Board produced GGR of $250m in 2022.
Grand Casino Luzern’s online mycasino brand will gain access to an array of content from in-house and later on exclusively offered Light & Wonder partner programme studios through OpenGaming. Titles including 88 Fortunes, Raging Rhino and Spartacus are some of the titles that will be available to enjoy initially, with further titles to be added in the coming months.
Light & Wonder’s first online entry in Switzerland enhances the company’s stronghold in regulated European markets, where it has built upon a foundation of land-based success to deliver casino experiences across multiple platforms, in alliance with a broad range of operators. In Switzerland, the company already has a strong presence of Light & Wonder games on the casino floor real estate, thus there is an existing appetite in the market already for the games.

NeoGames has entered into a definitive Business Combination Agreement to be acquired by Aristocrat Leisure for $29.50 per share in an all-cash transaction, representing an enterprise value of approximately $1.2bn for NeoGames. Te transaction price represents a premium of approximately 104 per cent over the volume weighted average price of NeoGames’ shares for the three months ending on May 12, 2023, the last trading day prior to the announcement of the agreement.
John E. Taylor, Jr., Chairman of the Board of Directors of NeoGames, said: “After careful consideration, the Board determined that Aristocrat’s proposal provides shareholders with compelling value, further validating the strength of the business that NeoGames has built. We are pleased to have reached this agreement, which we believe benefits all of NeoGames’ shareholders as well as our various stakeholders.”
Under the terms of the agreement, NeoGames
has agreed to transfer its statutory seat, registered office and seat of central administration from Luxembourg to the Cayman Islands and, as promptly as practicable thereafter, a wholly owned subsidiary of Aristocrat will merge with and into NeoGames, with NeoGames being the surviving company and a wholly owned subsidiary of Aristocrat.
Completion of the transaction is expected to occur within 12 months, and is contingent upon customary closing conditions, including receipt of regulatory approvals and the approval of NeoGames’ shareholders.

Croatia EUROMAT re-elects Frost and prepares for Summit

KingMakers’ betting brand, BetKing, has gone live with CasinoEngine, giving Nigerian players access to the industry’s largest casino content library through a single integration.
Members of the European Gaming and Amusement Federation (EUROMAT) met in Zagreb, Croatia for the association’s Annual General Meeting in May.
Te two-day gathering was hosted by the Croatian Gaming Association (HUPIS). Te AGM saw the unanimous re-election of Jason Frost as President as well as the re-election of Uwe Christiansen as Vice President and the re-election of Sanne Muijser as Treasurer.
Senior representation from EUROMAT also joined the Croatian Gaming Association at a separate meeting with the Croatian Tax Administration Office to discuss the international regulation of
gambling and player protection.
Commenting on his re- election, Jason Frost said: “I am very proud that our members have put their trust in me, our Vice-President and Treasurer for another term. EUROMAT is thriving: our membership continues to grow, and we are making a real impact on legislation at European and national level. In the next two years, I want to focus on delivering value for members and help to drive forward innovation in payments.”

Nigeria’s total onshore online betting and gaming gross win for 2023 is estimated to be €560m, according to H2 Gambling Capital, with the onshore market predicted to double in three years.
