AGS has announced its plans for Cadillac Jack to effectively grow both businesses thanks to substantial financial backing

Nevada - Acquisitions

AGS, a leading supplier of Class II and Class III slot machines as well as live table games, has announced its plans for Cadillac Jack, a provider of Class II gaming machines for the North American tribal gaming market, with key regions of opera- tion including Alabama, Mexico, and Wisconsin.

As previously announced on March 30, 2015, the deal to buy Cadillac Jack is valued at $370m in cash plus a promissory note of $12m. The acquisi- tion was financed in part with the net proceeds of $265m of incremental term loans incurred by AP Gaming I, LLC under its First Lien Credit Agreement and $115 million principal amount of 11.25 per cent senior secured PIK notes due 2021 issued by AP Gaming Holdco, Inc.

“I am excited to start a new chapter in the AGS growth story,” said David Lopez, Chief Executive Officer for AGS. “Adding Cadillac Jack to the AGS family creates a bigger, broader, and more power- ful gaming solutions provider. This is a significant milestone for our company and – in combination with our recent entry into table games and the acquisition of Colossal – further solidifies AGS as a serious player in the gaming space. Each organi- zation’s respective strengths create excellent growth opportunities in the Class II and Class III

markets, as well as an increased geographic foot- print.”

The wealth of experi- ence possessed by the combined team, along with the financial backing from our sponsors at Apollo, will allow us to effectively grow and improve our business.”

New Jersey’s DGE offers amnesty to illegal affiliates

US The New Jersey Division of Gaming Enforcement (DGE) has recently decided to liberalise its rules on iGaming affiliates pro- moting unregulated brands, effectively giving an 150 day amnesty to affilitates that have been operating illegally.

In a DGE judgement voted upon last month, concerns any iGaming affiliate that is either currently licensed, currently reg- istered or is planning a future applicantion for registration or licensure, which has:either pro-

moted or marketed iGaming sites to US players post-UIGEA (2006) or promoted or marketed illegal gaming sites to NJ or US players since November 26, 2013 (NJ iGaming market launch)

The ruling states that the afore- mentioned will not be subjected to enforcement action by the DGE for its past conduct if the affiliate, within 150 days of the bulletin posting (June 4th 2015): ceases to promote any illegal online gambling site to any NJ or US players where such conduct is illegal and submits a notarised

certification attesting to this fact.

Companies that continue to oper- ate illegally risk prosecution and will not be approved for legal Internet gambling in New Jersey should they apply in the future.

nternet gambling is off to a slow start in New Jersey, one of three states that allow it, along with Nevada and Delaware. New Jersey won $122 million from Internet customers in 2014, its first full year of operation, and state officials are trying to increase that figure through a number of means, including seeking compacts with other states to increase betting pools and trying to deter illegal betting sites and their facilitators.
