Cooperative Principles in Action


Bylaw committee members, above, found themselves quickly immersed in an intensive training process that provided necessary insight into electric cooperative history, governance and financing. Joe Harris, CEC interim general manager, (left), served as trainer and facilitator during the committee meetings. According to one observer, tensions evident during the first meeting quickly dispersed as committee members threw themselves into the task of revising bylaws. CEO Jon Miles pointed out that the committee members working together to facilitate change clearly illustrates basic cooperative principles. These principles include voluntary and open membership, democratic member control, members’ economic participation, autonomy and independence, education, information and training, and cooperation among cooperatives.

■ Article XV: Amendments


Proposed changes to Article XV include the creation of a new section on bylaw amendments. The new provision requires the annual meeting notice to include a copy of proposed amendment(s), yet allows trustees or members to repeal or correct any bylaw or amendment that is illegal or has become a legal nullity. Deadlines for submitting bylaw changes are more clearly defined, and procedures concerning proposed amendments are clarified to bring CEC bylaws into compliance with state and federal laws.

Ballots and Voting Information


Members attending the CEC Annual Meeting on September 26 will receive one ballot for proposed amendments to each section, or article , of the CEC bylaws.


Members will receive their voting ballots at the annual meeting registration desk. After registration, members will be directed to the bylaw information booth where they can review changes in detail, ask questions and visit with members of the bylaw committee.


Members will cast their ballots in the clearly marked voting booths located in the meeting area.
