Annual Meeting 2014 Minutes

he 76th annual mee ng of the members of Northeast Oklahoma Electric Coopera ve, Inc. (hereina er “Coopera ve”), was held in the Civic Center, at Grove, Oklahoma, Saturday, September 20, 2014.


President Dandy Risman called the mee ng to order at 12:17 p. m. and announced that a quorum of members, 1580, had registered. Kathy Markham delivered an invoca on, immediately followed by a fl ag salute lead by Boy Scout Troop 66 of Vinita.


As Master of Ceremonies, Craig Hendrickson introduced the Board of Trustees and their spouses. Mr. Hendrickson introduced General Manager Anthony Due and then recognized the employees and a ending re rees.


Secretary/Treasurer Benny Seabourn approached the podium to deliver his report to the membership. Mr. Seabourn reminded the members they may vote for all districts during an elec on, and talked about the re ring of capital credits.


Mr. Seabourn con nued by announcing the Affi davit of Mailing of the Annual Mee ng No ce was printed in the September issue of the Northeast Connec on; the minutes of the 2013 annual mee ng were included in the same issue. He requested a mo on to waive the reading of the minutes and to accept them as published. The mo on was made by Joel Webb and seconded by Gil Deissroth. The mo on passed without objec on.


Mr. Seabourn reported that the Coopera ve received a clean audit for the 2013 fi nancial statements from the independent accoun ng fi rm of Briscoe, Burke and Grigsby.


Mr. Hendrickson returned to the podium to introduce the Opera on Round-up board, no ng they served as the creden als and elec on commi ee. He also recognized the ac ve military and veterans in the crowd.


Mike Torrone, a orney for the Coopera ve, came forward to provide the elec on results. Out of 1422 ballots cast: District

The proposed bylaw amendment sec on 3.05 passed with 1,243 approved, 124 disapproved and 55 blanks at our 2014 Annual Mee ng. Members will no longer be required to fi ll out a form every year in order for an authorized person to vote for an en ty. The authorized person will be kept on fi le indefi nitely and will be able to vote on the en ty’s behalf un l such person is amended or terminated by the en ty.


There being no further business, Mr. Torrone asked for a mo on of adjournment. A mo on was made by Walter Gray and seconded by Burt Cox, the mo on carried and the mee ng adjourned at 12:45 p.m.
