Members Asked to Consider Change to Bylaws


W


hen members of Northeast Oklahoma Electric Cooperative, Inc., convene at the Grove Civic Center for their annual meeting on September 20, 2014, they will be asked to vote on the approval of a proposed amendment to the bylaws.


The proposed change is to Article III, Section 3.05, and is intended to simplify voting criteria for individuals representing an organization.


The proposed section would read:


Section 3.05.Voting. Each member who is not in a status of suspension, as provided for in Section 2.01, shall be entitled to only one vote upon each matter submitted to a vote at any meeting of the members. Voting by members other than members who are natural persons shall be allowed upon the presentation to the Cooperative of satisfac- tory evidence entitling the person presenting the same to vote. This evidence will be kept on fi le and entitle the authorized person to vote on the entity’s behalf indefi nitely, unless such authorization is amended or terminated by the entity represented. A person entitled to cast the vote of such entity, who is also a member, may vote the member’s own mem- bership as well as that of the entity repre- sented. At all meetings of the members, all questions shall be decided by a majority of the members voting thereon, except as oth- erwise provided by law or by the Coopera- tive’s Articles of Incorporation or the Bylaws. Members may not cumulate their votes.

Health Screenings at REC Day


Thanks to a partnership between REC and Craig General Hospital, health screenings will be available to members during annual meet- ing. Hospital staff will perform screenings between the hours of 8 a.m. and 10 a.m.


Screenings available include: lipid panel (HDL, LDL, and tri- glycerides), PSA (prostate screening), blood sugar (glucose test), and pulse ox. Due to the high equipment cost for the lipid panel and PSA tests, a $5 charge will apply to each of those tests. All other screen- ings will be performed free of charge.


It is important those participating in the health screenings fast for at least 12 hours to ensure accurate results.


Results will be mailed to participants in the days following annual meeting. ■
