most associations are aware of the parties they are contracting with such as midway providers, conces- sionaires and vendors, all of whom are all part of the “fair industry/fair family”. Howev- er, given that fair associations also enter into contracts with local businesses and promotion companies for fair and offseason events, often, fair management is una- ware of who owns the business, who its officers are and whether or not the business entity is recognized by and authorized to do business in the State of Florida. There is a simple way to check. A web site is maintained by the Florida Secretary of State http://dos.myflorida.com/ sunbiz/ which allows the general public, at no charge, to confirm all of the above. Simply go to the site and click on search records to look up a business name. There you can determine the particular legal entity (corporation, partnership or limited liability company), find out who the officers, partners or managers are, and if it is an active entity. If it is an inactive entity, or dissolved entity, or if the person who says they represent the company is not listed, further inquiry would be warranted prior to entering into a contract.
