Appointing a new Director

Who can become a director?


In order to ensure that such an appointment is valid and in the best interests of the company, it is necessary to review the Companies Act 2006, the articles of association of the company and relevant common law. There are a number of fundamental requirements set out by the Companies Act 2006 which must be satisfi ed before a person can be appointed to the board of your company, which your solicitor can discuss with you.


Procedure for appointing directors


When your company was incorporated, it will have adopted certain rules which govern the way in which it can operate. These rules are known as the articles of association of the company, and they act as safeguards. Within these rules, there
