From the Executive Director It’s hard to believe that the Spring Fair season is almost half over –
where does the time go! Whether your Fair is already over or still ahead of you, I know what each of you gives to your Fair and your community – your heart and soul and a good chunk of your time – to make your Fair the best it can be! My “hat” is off to each of you for the commitment your make and the time and dedication you give to your Fair. You essentially give up your “life” for six weeks and “live and breathe” the Fair. Only those of us that have been through it know how exhausting it can be….but we also know how rewarding it can be. Thanks to each of you – Fair members and Associates - for all you do!
A special thanks also to those of you that were able to attend the
Woman of the Year Luncheon at the State Fair. I was humbled and amazed at how many of you came – you truly are my Fair family! My recognition that day was a testament to the importance that Fairs play in the role of agriculture education and to the commitment that every Fair in this state has made to that role. Thank you for all you do for agriculture and thank you for sharing that day with me.
I wish that there was time for me to visit every Fair
in Florida but my
priority has been to visit the Fairs that I haven’t been to before. I can’t tell you what an “adrenaline” rush it is every time I set foot on a fairgrounds. I get so excited about what Fairs are doing in our communities and in the lives of young people!!!!!! I’ve been working in this industry for 34 years and it is still as exciting today as it was the first day I started! A special thanks also to our Associ-
ate Members for your continued support of the Federation and our Fairs. You are such a vital part of our “Fair Family!” Hope we see you at the Convention – it’s going to be a great one!

Attorney’s Corner “THE LEGAL STATUS OF FAIR ASSOCIATIONS”
At times there is confusion as to what type of legal entity a fair association is. In Florida, businesses can
take on many forms such as a sole proprietorship, for proit corporation, limited liability company, a not for proit corporation, professional service corporation, foreign unincorporated association, private school corporation, or, our very own Chapter 616 fair association. Section 616.04 of the Florida Statutes provides as follows: A certiied copy of the charter and decree of incorporation of a fair association shall be evidence of the contents of the charter in all actions and proceedings, and shall be conclusive evidence of the existence of the incorporated association in all actions and proceedings. Many individuals outside our industry think that a fair associa-
tion is controlled by the Florida proit, or not for proit statutes. That is simply not the case. Fair Associations enjoy a unique status in Florida law and are governed by their own Chapter in our Florida Statutes. In 2012, during the comprehensive revision by the Florida Leg-
islature of Chapter 616, speciically Section 616.03, the following was added to help alleviate the confusion: This section does not preclude a fair association from also iling its duly approved charter with the Department of State pursuant to chapter 617 for notice purposes. Many fairs have found this helpful when they go to apply for inancing, deal with banks, county government, etc., as most attorneys and bank oficers are familiar with the Florida Secretary of State’s website to conirm the legal existence of a corporate entity in Florida, and are not accustomed to con- tacting the Florida Department of Agriculture and Consumer Services to conirm a fair’s lawful existence.
