Candidates For CEC Board Must File By July 28 Deadline


Choctaw Electric Cooperative (CEC) members interested in running for a seat on the CEC board of trustees must submit their intent to run by July 28, 2015.


According to CEC bylaws, any challenger for nominations to the office of the trustee must submit a petition signed by 25 members within their CEC voting district. The petitions must be submitted to CEC’s Hugo office by 5 pm on Tuesday, July 28.


The CEC bylaws define the specific qualifications for board members in Section 4.02. These guidelines require board members to live in the district they represent. Board members must also be willing to attend training to earn certification as a qualified rural electric cooperative director. Certain restrictions ensure the CEC board remains fair and unbiased as they make decisions pertaining to electric service in southeast Oklahoma.


This year cooperative members will elect representatives for Districts D, E, and F. The election will take place at the CEC Annual Meeting on Saturday, September 26, 2015 in Hugo.


CEC board qualifications and proper nomination procedures are printed in your co-op bylaws. CEC bylaws are available online at www.choctawelectric. coop or pick up a copy at the CEC office in Hugo, Antlers or Idabel.

Bylaw Changes Committee of members submits proposed changes to CEC bylaws


he bylaws committee appointed by the Choctaw Electric board of trustees presented proposed bylaw changes to the board at their June meeting. The board will review proposed changes with legal counsel to ensure revisions comply with state and federal law. When their work is complete, CEC will publish the proposed changes in the CEC newsletter, online at www.choctawelectric. coop, and on CEC’s Facebook page.

CEC members will vote on proposed changes at the CEC Annual Meeting on September 26. Members who attend the meeting will have the opportunity to visit with members of the bylaws committee about the proposed changes before they cast their vote. Below is a summary of the changes. Proposed changes are also published online at www.choctawelectric.coop.


ARTICLE III - MEETING OF THE MEMBERS


Section 3.01 Annual Meeting


A change was made to where the Annual Meeting may be held. The reference to the meeting being held in “one of the counties” was deleted and replaced with in “the service territory.” This allows for simultaneous meetings to be held anywhere in Choctaw Electric Cooperative’s service area.


Section 3.05 Voting


The Bylaw Committee discussed desire by members to exercise the right to vote by mail in ballot. After much discussion, new language was proposed allowing members to vote in person at the annual meeting and/or by mail-in ballot.


New language requires that not less than twenty-five days nor more than thirty days prior to an annual meeting at


which a director election is to be held, the secretary shall deliver a ballot by mail to each member that is eligible to vote.


ARTICLE IV: TRUSTEES Section 4.02 Qualifications New language was proposed that would not allow a former employee to serve on the board of trustees.


Section 4.04 Tenure


Proposed changes made to clarify the rotation of trustees in each district as the rotation issue currently exists in Section 4.05 Trustee Districts. A new provision placing term limits on directors on no more than four terms is also proposed.


Section 4.05 Trustee Districts


Starting in 2016, no less than one hundred and twenty-five days and once every five years before any meeting of members, the board of trustees shall review the composition of the districts to make sure that equal representation exists. If it is found that inequalities of five percent or more have developed, efforts shall be made by the board of trustees to reestablish equal representation among all districts.


Section 4.06 Nominations


New language proposed requires that incumbent directors petition to place their name in nomination. Challengers seeking election must file a signed statement of intent to run with the secretary.


Section 4.08 Removal of Trustees by Members


Proposed new language states that the board of trustees will declare that a vacancy exists if a trustee does not attend seventy-five percent of the regularly scheduled monthly meetings in a consecutive twelve month period.
