B. Any person or synchronized skating team member who represented U.S. Figure Skating and won an Olympic gold medal or an ISU World Championships gold medal at the senior level will become an honorary member of U.S. Figure Skating at the Governing Council following the awarding of their medal.


BC. Have no voting rights with respect to the government of U.S. Figure Skating, but may be accorded the privilege of speaking when present at official meetings of U.S. Figure Skating, including but not limited to Governing Council; provided, however, that if such person is also a member in any other membership category, such person will have and may exercise voting rights and privileges available to them by virtue of such other membership, including as a delegate to the Governing Council.


CD. May serve, if elected or appointed, in any office or position and exercise all voting and other rights pertaining to the office or position so held.


Proviso: All past U.S. Figure Skating members who won an ISU World Championships gold medal or an Olympic gold medal and who meet the criteria in new sub-paragraph B who are not currently Honorary Members will become Honorary Members effective July 1, 2014.


If the proposed amendment to Article V, Section 4, above had been adopted, rule MR 5.01 (page 60) would have been amended as follows:


MR 5.10 Honorary members of U.S. Figure Skating are exempt from the payment of all U.S. Figure Skating membership dues and registration fees.


59. ADOPTED – Exhibit F Amend Article V, Sections 1 (H) and 8 of the U.S. Figure Skating Bylaws (pages 4-5) to clarify that the team membership pertains to synchronized skating teams as well as Theatre On Ice teams:


ARTICLE V Membership


Section 1 Classification. U.S. Figure Skating has nine types of membership: H. Synchronized Skating/Theatre On Ice/ Team members; and Section 8 Synchronized Skating/Theatre On Ice/ Team Members. A. Consist of registered members who are subject to the rules of U.S. Figure Skating. B. Have no voting rights with respect to the government of U.S. Figure Skating. C. May become a Synchronized Skating/Theatre On Ice/ Team member at any time upon written application, compliance with the requirements of U.S. Figure Skating and approval of its application by the Membership Committee.


Implementation date: July 1, 2014


60. REFERRED TO THE RULES COMMITTEE – Exhibit G Amend Article XV, Section 1, of the U.S. Figure Skating Bylaws (pages 11-12) to include in the bylaws the election requirements and procedure for members of the Nominating Committee that are currently included in the Standing Rules:


ARTICLE XV Nominations and Elections of Officers and Board of Directors Section 1 Nominating Committee. Each year a 12-member Nominating Committee will be


established consisting of: A. Nine registered members, none of whom represent the same region, consisting of: (i) Three members (one from each section) elected in odd numbered years by the Governing Council full member club delegates and individual member delegates from that section to serve two-year terms; and


(ii) Six members (two from each section) elected in even numbered years by the Governing Council full member club delegates and individual member delegates from that section to serve two-year terms.


(iii) To be eligible for election to the Nominating Committee, a member must have a broad knowledge of the organizational structure of U.S. Figure Skating and of qualified individuals to be considered for election to the Board of Directors or recommended as committee chairs. Members interested in standing for election to the Nominating Committee will submit their names to the U.S. Figure Skating secretary no later than April 1 along with the following: (a) A resume (b) A statement of qualification to serve, including disclosure of home club membership and, in the case of an individual member, residency.


(iv) As soon as possible following the April 1 deadline, the names along with resumes and statements of qualification of candidates for election to the Nominating Committee will be published on the Nominating Committee page of the U.S. Figure Skating website. (v) Elections will be conducted as set out in subparagraph E of this Section 1.


B. Three registered athlete members who satisfy the criteria for athlete representation on U.S. Figure Skating committees set forth in Article XVI, Section 5, of these bylaws, each representing a different section, will be elected by the Athletes Advisory Committee to serve one-year terms.


C. Only athlete members may serve consecutive terms on the Nominating Committee. D. Members of the Nominating Committee are ineligible to be nominated for any office or to be recommended as a permanent committee chair while they are serving as a member of the Nominating Committee with the following exception: (i) Athlete members of the Nominating Committee are eligible for service as an athlete member of the Board of Directors and/or as chair of the Athletes Advisory Committee.


E. The Board of Directors will, subject to the approval of the Governing Council, establish the voting procedures to be followed by the Governing Council with respect to the nine registered members to be elected by it. A caucus of each section will be held in conjunction with the annual meeting of the Governing Council for the purpose of electing the members of the Nominating Committee identified in this Article XV, Section 1 (A), and conducting any additional applicable business. The election for Nominating Committee members will be held by secret, written ballot at each respective sectional caucus and will be presided over by the vice president for the section or, in the absence of the vice president, by a presiding officer from the section appointed by the president who is not a candidate for the Nominating Committee in the election to be conducted. The candidate for each Nominating Committee position to be elected will be elected by a majority of the votes cast by the delegates voting in the candidates’ respective sectional caucus. Each regional vote will be taken separately and announced after all elections are complete. (i) If no candidate receives a majority of the votes cast by the delegates voting in the section, then a runoff election will be held between the two candidates receiving the highest number of votes. The candidate receiving the highest number of votes in the runoff election is elected.


(ii) For the purpose of counting votes, blank ballots or ballots cast for a person who is not


a candidate for election will not be included in the total ballots cast to determine a majority.


F. The Nominating Committee will elect one of its members to act as the chair of the committee.


61. DID NOT ADOPT – Exhibit H as amended Amend Article XV, Section 4, of the U.S. Figure Skating Bylaws (pages 10 and 12) to: (1) Require the holding of an actual balloted election at Governing Council for any officer or director position where a candidate is seeking a fifth or greater term and in all contested elections of officers; and


(2) To provide specific election rules relating to the two-thirds vote requirement for candidates seeking a fifth or greater term.


ARTICLE XV Nominations and Elections of Officers and Board of Directors


Section 4 Elections. A. Unless a greater vote or different procedures is required by these bylaws, the Governing Council, by majority vote of the votes cast of the Governing Council delegates present in person or by proxy, elects: (i) A president, three vice presidents, a secretary and a treasurer to hold office for a term specified in Article X, Section 2, commencing upon the conclusion of the meeting at which elected or until their respective successors are elected and assume office; and


(ii) Such number of additional voting members of the Board of Directors as are to be elected pursuant to the provisions in Article VIII, Section 2, of these bylaws for a term specified in Article VIII, Section 3, of these bylaws, commencing upon the conclusion of the meeting at which elected or until their respective successors are elected and assume office.


B. The Athletes Advisory Committee elects four athlete members of the Board of Directors – one representing each discipline of ice dance, pairs, singles and synchronized skating – pursuant to the provisions of Article VIII, Sections 2 and 4 (B), of these bylaws for a term of one year commencing upon the conclusion of the meeting of the Governing Council at which elections under paragraph A of this Section 4 occur, or until their respective successors are elected and assume office. From the four elected members, three will be voting members and one will be non-voting. The elected chair of the Athletes Advisory Committee will always be a voting member. From the remaining three athlete board members, the non- voting member will rotate annually among the disciplines in alphabetical order.


C. The election of the president, the three vice presidents, the secretary and the treasurer will be by secret written paper ballot for all officers seeking a term that will include a fifth or greater consecutive year in office and for all contested elections for officers. Said written ballot election will be conducted in the following manner in the circumstances indicated: (i) In the event that there is only one candidate for an office who is seeking a term that will include a fifth or greater consecutive year in office, the ballot for election will require a “yes” or “no” vote on the question of whether the candidate will be elected. The candidate will be elected if the candidate receives two-thirds of the votes cast of the Governing Council delegates present in person or by proxy.


(ii) In the event that there is more than one candidate for any office, none of which is seeking a term that will include a fifth or greater consecutive year in office, the candidate receiving the majority of votes cast of the Governing Council delegates present in person or by proxy will be elected. If no candidate receives a majority of the votes cast by the delegates, then a run off election will be held between the two candidates receiving the highest number of votes. The candidate receiving the majority of votes cast of the Governing Council delegates present in person or by proxy in the runoff election will be elected.


(iii) In the event that there is more than one candidate for any office, and one of the candidates is seeking a term that will include a fifth or greater consecutive year in office, all of the candidates will be listed on a secret written ballot. The candidate seeking a fifth or greater term will be elected only if that candidate receives two- thirds or more of the votes cast of the Governing Council delegates present in person or by proxy. Any of the other candidates will be elected by receiving a majority of the votes cast of the Governing Council delegates present in person or by proxy. If no candidate receives the required vote, a runoff election will be held between the two candidates receiving the highest number of votes. The candidate who receives a majority of the votes cast of the Governing Council delegates present in person or by proxy in the runoff election will be elected.

62. REFERRED TO THE MEMBERSHIP COMMITTEE – Membership Committee Amend rules MR 5.02, MR 5.03 (A) and MR 5.05 (pages 59-60) as follows:


MR 5.02 Dues of Members and Collegiate Members of Member Clubs and Collegiate Clubs. Each will pay an annual fee as outlined below. Such registrants may register only as members of their designated home club provided, however, that such registration does not preclude such registrant from changing their designated home club in the course of a membership year in accordance with any rules governing such change. A. All full members under 18 years of age at the time of their annual registration must have at least one parent/guardian register as a U.S. Figure Skating full member (or subsequent member as described in MR 5.02 (C)) in order to be in good standing within the meaning of these rules. Re-letter remainder of rule accordingly.


MR 5.03 Dues of Individual Members and Individual Collegiate Members. A. To qualify for individual membership the applicant must: 1. File application on the forms supplied by U.S. Figure Skating headquarters or online at usfigureskating.org;


2. Submit, with the application, payment of the annual dues specified for individual members;


MR 5.05 Introductory Members. Introductory members will pay a fee as outlined below. Such members may join only as members of a member club; however, members can change their home club in the course of a membership year in accordance with any rules governing such
