Loeser e Portela Advogados is one of the largest specialized law firms in Brazil, focused on tax and business law, with offices located in seven different cities in Brazil, including São Paulo, Rio de Janeiro and Brasília, and with wide and consolidated experience in assisting foreign companies and individuals investing in Brazil, whether incorporating Brazilian subsidiaries, obtaining visas for officers, entering into a variety range of contracts, getting involved in M&A, joint ventures and related transactions, participating in project finance, among others.


Richard is leading partner of the international and corporate practice groups of the Brazilian law firm Loeser e Portela Advogados. Graduated from the University of São Paulo School of Law, with a degree in Corporate Law, Richard is Co-chair of the Legal Committee of the Brazilian Institute of Corporate Governance – IBGC, member of the Committee on Mergers and Acquisitions of the American Bar Association, Professor of corporate governance at IBGC and business law at the MBA program of BI International and co-author of several legal guides for directors and officers in Brazil. Richard is an expert in M&A, Joint Ventures and


related transactions, having already assisted several clients, either foreign companies investing in Brazil or Brazilian companies investing abroad, in these types of transactions, such as, in 2010, the acquisition by Cargill Brazil, of the Unilever’s tomato products business in Brazil for approximately R$ 600 million and the acquisition by Banco do Brasil, the largest bank in Latin America and the 14th in the world, of a 51%

Richard’s thoughts for 2011 The discovery and development of the pre-salt oil fields, the FIFA World Soccer Cup of 2014 and the Olympic Games of 2016, together with a scenario of consolidated democracy, growing economy, strong internal market, investment grade, corporate governance practices, well developed capital market, and the increased presence of private equities, hedge funds, investment banks, are factors that indicate that mergers and acquisitions, although subject to influences of higher or lower intensity, will continue to be in the agenda of entrepreneurs investing in Brazil, along with infra-structure projects. Brazilian companies, on their turn, will continue with their approach of acquiring companies abroad, taking advantage of the favorable international scenario for the emerging economies.
