and recognised advertising agencies are deemed to be Incorporated in these conditions of acceptance of advertising orders or the publication of aU adver­ tisements accepted from a recognised advertising agency:


Without prejudice to the generality of these terms these conditions of accep­


tance specifically extend to any personal guarantee given by the Directors or any other person on behalf of a recognised agency a t the time of the recogni­ tion in respect of any unsatisfied liabilities of the agency in the event of the agency's liquidation oh insolvency. The Advertiser hereby grants to (Ctitheroe Advertiser and Times) (the "Com­ pany") and all other members of the United News 4 Media pie group (the "UN Group") a licence to use and publish the foil format of the advertisement! and other works and materials submitted by the Advertiser for or on behalf o f the Company or any UN Group member, or produced or acquired by th e Adver­ tiser for or os behalf of the Company of any UN Group member (herein called "Works").


The Advertiser also grants to the Company and ail other members of the UN Group a perpetual, Irrevocable, non-exclusive licence to use and publish a t any time without restriction:


(a) the full format of all or any of the Works in archive form; and/or <b) the text and/or the factual content of aU or any of tbe Worka (but not any accompanying photographs or images or layout);


in whole or in part, aa a single item or as part of a series o r compilation, or otherwise, in any part of the world.


With respect to the licences granted in sub-dauses (a) and (b) above, tbe Company - and'or other members of the UN Group can use and publish the Works in any system,


form or manner whatsoever whether or not such system, form or manner exists or is - contemplated or envisaged a t the date of this agreement including, but not timited to. CD ROM, on-line database form, any form of electronic publishing and/or type of retrieval system.


The Advertiser warrants that no Work: (i) shall infringe o r prejudice the rights of any third party (including without prejudice to the generality of tbe foregoing, intellectual property rights);


(ii) shall be defamatory of anythird party; (iii) shall constitute unfair competition or any tike tort or dvil wrung; or (iv) shall infringe any laws, regulation* and voluntary codes of conduct within the countries within which the Work is to be used.


and the advertiser further undertakes to indemnify and to keep indemnified the Company and UN Group against any costs, claims and expenses which result directly or indirectly from any breach of any of tbe above warranties.


Tbe Advertiser undertakes to procure that aU suppliers are involved in the creation o f . the Works authorise the Advertiser to grant a licence on the terms set out in n b - dauses (a) and (b) and that such suppliers procure that the authors of the Works. unconditionally are) irrevocably waiver aU moral rights droits morale and all other similar rights and rights having similar effect which they may have or may acquire in respect of the Works. The Advertiser also hereby waives any such rights it may have: or acquire in respect of the Works on the same terms.
