AGM highlights membership growth, strong finances, and governance reform
IHEEM’s 58th Annual General Meeting took place on 20 October 2025 during Healthcare Estates at Manchester Central. President, Nigel Keery, reflected on the Institute’s progress over the past year, while CEO, Pete Sellars, reported continued membership growth, robust finances, and a major new national partnership. Members also approved a new set of Articles of Association following a full governance review.
IHEEM President, Nigel Keery, opened the Institute’s 58th Annual General Meeting by welcoming members and guests, before asking CEO, Pete Sellars, to formally read the notice of the meeting.
The first Agenda item was to approve the Minutes of the previous AGM held on 6 October 2024 during the previous Healthcare Estates – the Minutes were unanimously approved.
President’s report Nigel Keery reflected on the Institute’s performance over the past 12 months, highlighting the significant work undertaken on the review of IHEEM’s Articles of Association. He thanked Council members for their commitment and input to the process. Nigel also updated members on his work in collaboration with the Hospital Infection Society, regarding antimicrobial resistance in the built environment, confirming IHEEM would continue to support the Society. Nigel concluded by thanking Head Office staff and Council members for their continued support and dedication to the Institute.
CEO’s update Pete Sellars then delivered his Chief Executive’s update, reporting that IHEEM membership and affiliate numbers had increased by 5% over the last year. The Institute’s finances remain robust, with growth across IHEEM’s three key income streams: membership fees, events, and training. Net reserves also continue to strengthen. The CEO explained that work on IHEEM’s new Five-Year Business Plan had been delayed due to the scale of the governance review and the work required on the Articles of Association. He updated members on the refurbishment of IHEEM’s Portsmouth Head Office, which was completed in February 2025, followed by the appointment of three new

members of staff to support the Institute’s growing activities. Pete Sellars also reported continued expansion of IHEEM’s governance and compliance software platform with Citation, with new modules added this year covering fire, medical devices, engineering, and PFI. He outlined IHEEM’s wide programme of national engagement, with representation at events across England, Wales, Northern Ireland, and Dublin, alongside ongoing collaboration with universities. IHEEM continues to sponsor The Big Bang, the UK’s largest STEM event for schools, which attracts more than 22,000 students annually. Two bursaries were awarded to winners of the competition this year, and this support will continue.
The update confirmed a new long-term partnership with NHS Estates and Facilities, under which IHEEM will manage the Authorised Engineer Register on behalf of NHS England. Pete revealed the expansion and management of the AE Register would be a key business priority for the coming years. He concluded by thanking members for their continued support, describing this as ‘an exciting but challenging time’ for the Institute.
Annual Report and Financial Statements
The Annual Report (pictured right) and audited Financial Statements for the year ending 31 December 2024, which had been published
in the September 2025 edition of Health Estate Journal magazine, and also available online, were received. With no questions raised, the Accounts were unanimously approved.
Agenda Item five was the appointment of new auditors. Members approved the new appointment of CarpenterBox as IHEEM’s auditors for the coming year. Pete Sellars explained changes to several Council seats, all appointments were approved unanimously. Pete Sellars then read out the full list of Council members for the next 12 months: President – Nigel Keery; Northern Ireland – Victoria McKee; Scotland – Jim Leiper; Wales – Peter Davies; North East – Alan Spraggon; North West – Warren Duffy; Yorkshire – Chris Davies; East Midlands – James Chadwick; West Midlands – Claire Hennessy; East
Anglia – vacant seat at present; London – Paul Rodgers; South – Richard Harris; South West – Martyn Jeffery; Republic of Ireland – Bill O’Reilly; Hong Kong – Dr P L Yuen. Nigel Keery welcomed Warren
Duffy and Victoria McKee to Council and thanked Bill O’Reilly for agreeing to serve a second term. He also expressed his thanks to Alison Ryan for her substantial contribution to Council following her previous presidency.
New Articles of Association A key item of business was the formal approval of IHEEM’s new Articles of Association. Pete Sellars explained that the Institute had undertaken a full review of its governance during 2025, noting that the existing Articles dated back to 1987 and had only been amended periodically, most recently in 2019.
The new 2025 Articles, intended to fully replace the previous version, had already received unanimous approval from the Management and Finance Committee, the Audit and Remuneration Committee, and the Executive Council. Members were invited to endorse the changes at the AGM.
Following a formal vote, the motion was carried with 118 votes in favour and 25 against. In his closing remarks, Nigel
Keery thanked all those in attendance for their continued support of the Institute and formally closed the 58th Annual General Meeting.
