CHILE Enjoy y Dreams cancelan proceso de fusión
Con fecha 11 de abril de 2023, el grupo chileno de casinos, Enjoy S.A., dirigió una carta de Hecho Esencial a Comisión de Valores de Santiago, fi rmada por Eliseo Gracia M., Gerente General, informando sobre el fi n de la pretendida fusión de la empresa con Dreams S.A., otra operadora de casinos del país sudamericano.
Las razones esgrimidas por Enjoy explican que: “El cierre de la fusión estaba sujeto al cumplimiento de una serie de condiciones, la última de las cuales debía cumplirse en o antes del 13 de julio de 2023, fecha en la cual no seria. “posible determinar los efectos que lo informado pudiere tener sobre los activos, pasivos o resultados de Enjoy, por lo cual, ambas empresas, “han acordado no perseverar en la combinación de negocios y, de común acuerdo, han puesto término al Merger Agreement. Con fecha 13 de enero de 2022, ambas empresas, Enjoy y Dreams suscribieron un contrato en idioma inglés denominado Merger Agreement, en virtud del cual acordaron combinar sus negocios mediante una fusión de ambas empresas. Como es de conocimiento público, la fusión ha sufrido tropiezos, y últimamente se ha desatado una controversia mediante la cual un ex ejecutivo de una de las empresas ha reportado faltas en el proceso de fusión, implicando además a la Superintendencia de Casino de Juego.
CHILE Enjoy and Dreams cancel merger proces
On April 11, 2023, Chilean casino group, Enjoy S.A., sent an offi cial letter to the Santiago Securities Commission, which was signed by Enjoy GM, Eliseo Gracia. It informed the local stock exchange of the end to Enjoy’s purported merger with Dreams S.A., another casino operator in the South American country.
The reasons given by Enjoy state that: “The closing of the merger was subject to the fulfi lment of a number of conditions, the last of which had to be met on or before July 13, 2023, a date that would not be possible to determine the effects that the information may have on the assets, liabilities or results of Enjoy. Therefore, both companies “have agreed not to persevere with the combination of their businesses and, by mutual agreement, have terminated the Merger Agreement they had signed. On January 13, 2022, Enjoy and Dreams entered into a Merger Agreement, under which they agreed to combine their businesses through the fusion of both companies. As is of public knowledge, the merger suffered setbacks. Lately a controversy has been unleashed through which a former executive of one of the companies has reported faults in the merger process, which also implicates Chile’s gaming regulator, Superintendencia de Casino de Juego.
