special meeting for that purpose, called, provided such amendment shall be plainly stated in the call of the meeting at which they are to be considered. Section 2. Due notices of which meetings such amendments are to be considered must be given to every member at least five days prior to the meeting. Due notices of such meetings shall be given orally at a regular membership meeting preceding the meeting when the amendments will be considered or notice can be made via facsimile or via electronic mail (e-mail). ARTICLE 7 – ELECTION The election of officers shall be by secret ballot in the event more than one name is proposed for any one office. Otherwise, a plurality vote shall be necessary to election. ARTICLE 8 – COMMITTEES Section 1. It shall be the duty of the President to appoint members to one of the following standing committees to serve at his/her discretion unless the President has deferred such selection to the Executive Committee: (1) Annual Resource Guide Committee - The duty of this Committee is to plan, prepare and publish the annual resource guide, or to assist the printer and publisher if a third party directory provider is selected by the Committee and approved by the Board of Directors. (2) Charities Committee - The duty of this Committee is to report to the Board of Directors the results of their investigations and to designate the charity or charities to be benefited by the Association annually. (3) It is stated as a desire of this Association that in lieu of one or more meetings annually there shall be golf and/or social outings. (a) Golf Committee - The duty of this Committee is to fully orchestrate a golf outing at one or more times per year as determined by the Board of Directors. (b) Social Committee - The duty of this Committee is to fully orchestrate a member or family social outing at one or more times per year as determined by the Board of Directors.


(4) Historian Committee - The duty of this Committee is preserve the history of the Association by assembling photographs, documents, news articles and memorabilia of members and events of the organization. (5) Legal Committee - The duty of this Committee to assemble and disseminate information as to existing or proposed legislation, court decisions affecting the insurance industry, and the membership, and it shall recommend to the Association, the procedure in any situation in which action shall be deemed advisable. (6)Membership Committee - The duty of this Committee is to assist the Treasurer in the collection dues and assessments and to assist the Secretary in compiling a proper list of active members. This Committee shall undertake programs to encourage the enlargement of membership and the attendance at meetings. It shall be the duty of the Committee to investigate all complaints by members or others against any members and to submit reports to the Association with recommendations. (7) Program Committee - The duty of this Committee is to orchestrate the program content of the year including the selection of subject matter, selection and scheduling of speakers on matters of interest and value to the membership or to recommend a third party provider approved by the Board of Directors. (8) Education & Placement Committee - The duty of this Committee is to solicit related businesses and schools of higher education for the purpose of providing advance notification of courses and educational materials and or job openings to the members. (9) Scholarship Committee – The duty of this Committee is to solicit members and local schools of higher education and related organizations to encourage candidates to submit applications for the Bill Tilton Memorial Scholarship Fund that will award a $500 scholarship to the eligible student nominated by the Committee to the Board of Directors. See ARTICLE 13 of the By-Laws. (10) Web Site Committee – The duty of this Committee is to oversee the Official website of the Association, www.jaxclaims.com, to review and monitor the content, to insure the highest integrity of the Association, and its members and to explore ways of expanding the site and to encourage usage by both members and non-members. To monitor the web master’s maintenance of the site and to recommend changes to the Board of Directors when necessary.
