Notice is hereby given that the Annual General Meeting of the Royal Yachting Association will be held online from RYA House, Hamble, on 27 November 2026 at 11:00 and will be broadcast via www.rya.org.uk

Agenda


1. To approve the Minutes of the Annual General Meeting of 21 November 2025 (circulated with the spring 2026 issue of RYA Magazine).


2. To receive the Report of the Board of Directors and Accounts for the year ended 31 March 2026 (together with the report of the Independent Auditor).


3. To elect the President for the ensuing year: HRH The Princess Royal, the retiring President, is eligible for re-election and has signified her willingness to continue to serve in office.


4. To appoint the Auditor and to delegate to the Board of Directors authority to fix the remuneration of the Auditor.


5. Special resolution to amend the Articles of Association and Board Regulations:


Special Resolution 1 Amendments to provisions relating to Director Appointments and definitions regarding Independent Directors


Special Resolution 2 Introduction of the RYA Tribunal and development of articles relating to Termination of Membership


Special Resolution 3 Development of Articles to enable remuneration to potentially be paid to the Chair of the RYA Board


Special Resolution 4 Miscellaneous and Consequential Amendments to improve consistency and to reflect special resolutions 1 to 3


6. Any other business.


Any matters raised under Agenda Item 6 cannot form part of the official business of the meeting and thus may not be proposed as formal motions. This item is included to afford members an opportunity for informal discussion.
