BIO
Chinyerugo is a Senior Associate who works with AELEX’s corporate law, tax and energy practice groups. He attended the University of Lagos and became qualified to practice in Nigeria in 2005. He joined AELEX in July 2006.
Chinyerugo authored the Nigeria chapter of the International Bar Association Corporate and M&A Law Committee’s 2010 Squeeze-out Guides.
He is an associate of the Chartered Institute of Taxation of Nigeria and co-authored the Nigeria chapter of the Inward Investment and International Taxation Review. He also co-authored the article titled “Analysing the right to confidentiality under the Nigerian Arbitration and Conciliation Act” as published in the September 2012 edition of the International Bar Association’s arbitration newsletter.

Please summarise the transaction
Shanghai Municipal Electric Power Company (“SMEPC”) was part of the consortium which successfully bid to acquire 51% of Geregu Power Plc. In addition to holding a minority stake in Amperion Power Distribution Company, the consortium’s investment vehicle, SMEPC would also be responsible for providing technical support to the Geregu Power Plant.

What was your role within the transaction
Working with Baker & McKenzie’s Beijing office, our role was to provide SMEPC with all the local law support it needed to take informed decisions about its choice of investment and
operational vehicles. We also had to advise on the entire legal and regulatory framework for the operation of power generation plants in Nigeria as well as review the contractual framework for SMEPC’s operation of the Geregu Power Plant.

What were the challenges difficulties presented
or
The client needed us to present a large amount of information within a relatively short timeframe. The significant time zone difference between Lagos and Beijing also meant that we often had to work long hours, holidays and weekends inclusive, to meet the client’s deadlines.
