BIO
Gülperi Yörüker focuses her practice on corporate law, mergers and acquisitions, finance and project finance, joint ventures, corporate governance and international contracts.
She has extensive experience in representing clients in a wide variety of complex cross-border mergers and acquisitions, the formation of strategic partnerships and joint ventures, private equity transactions, and the establishment of new companies and businesses covering a broad spectrum of industries. In addition, she advises on general commercial matters, including sale, purchase and lease arrangements, distribution and franchising contracts; and technology transfer, licensing, trademark and copyright matters as well as employment law and antitrust law.
In the antitrust field, she has been involved in various notifications on behalf of important foreign and local legal entities concerning competition law matters and Competition Board investigations of companies in various industries.
Mrs. Yoruker also has experience practicing sovereign state and investor arbitrations under ICSID and UNCITRAL rules.
Before establishing Yurttutan Gürel Yörüker she has worked for the Law Offices of Fadullah Cerrahoğlu as a partner. She has been involved in numerous M&A transactions from the stage of conducting the due diligence study till the closing and a diversity of subjects resulting there from.
Mrs. Yörüker is a graduate of the Istanbul University, Faculty of Law and is a member of the Istanbul Bar Association. She has an LLM degree from the American University Washington College of Law in International Legal Studies. She is fluent in English.

Please summarise the transaction
The Transaction concerns the acquisition of 50 % of the share capital of Mobiliz Bilgi ve İletisim Teknolojileri A.Ş. (“Mobiliz”) by Telematics Solutions Sarl, a Luxembourg limited liability company, wholly owned by Mediterra Capital Partners I, LP (“Mediterra”) and the subscription to the capital increase of Mobiliz by Mediterra and the existing shareholders of Mobiliz.

What was your role within the transaction
We have represented Mediterra in this Transaction. We have conducted a limited legal due diligence study for this project. We have participated in all stages of the negotiations and led the documentation side of the transaction including the Share Purchase Agreement, Share Holders Agreement, Escrow Agreement and certain Employment Agreements. We have also taken a significant role in the closing formalities of this Transaction.

Our firm’s main focus is on corporate and litigation matters with specific emphasis on M&A work, competition and advising foreign investors and local companies in Turkey with regard to their corporate, commercial, labor

law, financing and litigation matters. Some of the industries in which our firm has handled transactions include retail apparel, textiles, automotive and automotive side industry, hotel and tourism, media, broadcasting and entertainment, chemicals and pharmaceuticals, food and beverage, health care, household goods, home appliances, real estate development, logistics, telecommunications, tobacco, heating and refrigeration.
Taking into account the welcoming atmosphere of Turkey with respect to foreign investments, I personally believe that the M&A transactions in Turkey will gradually improve in the upcoming years.
