MINUTES Bill Payment Options


The Board of Trustees of Choctaw Electric Cooperative, Inc. met in regular session at the CEC headquarters office in Hugo, Oklahoma, Tuesday, May 26, 2015.


CALL TO ORDER


There being a quorum present, President George Burns called the meeting to order at 9:05 a.m. Marcia Wright delivered the invocation and Mr. Burns led the Pledge of Allegiance to the Flag. Those Trustees present were:

Guests Attorney Frank Wolf, OAEC General Manager Chris Meyers, Auditor Randy Robbins, CEO Joe Harris, and Executive Assistant Susan Wall.


CONSENT ITEMS


Following discussion, the consent items were approved upon a motion made by Mr. Antwine, seconded by Dr. Slaton, and carried unanimously.


Approval of the minutes of the April 28, 2015 regular meeting; Approval of the minutes of the April 26-27, 2015 special meeting;


Acceptance of the new membership list for April 2015; Acceptance of check register and ACH for April 2015; Estate Capital Credits in the amount of $3,413.77. Audit Report – Randy Robbins; Bolinger, Segars, Gilbert & Moss, LLP.


Randy Robbins presented a copy and gave a detailed explanation to the board of a working draft of the audit for the year ended December 31, 2014. A final copy of the audit will distributed upon completion.


EXECUTIVE SESSION - The board agreed by consensus to go into executive session to discuss the details of the audit at 11:10 am. The board re-convened in open session at 12:02 pm.


4. FINANCIAL REPORT 1. Financial reports explaining the line items on CFC Form 7, CEC cash flow and PCA were presented. 2. The WFEC power bill was included the agenda items for review.


DEPARTMENT STAFF REPORT - Department staff reports were included in the agenda items for review.


ATTORNEY’S REPORT - Attorney Frank Wolf reported that Bob Rabon had attended the training for co-op attorneys held recently at OAEC.


CEO’S REPORT


STRATEGIC PLANNING- Plans are still underway for the board to develop a strategic plan.


FEMA- Mr. Harris announced that the FEMA dollars from the December 2013 ice storm have been received.


WFEC TRUSTEE REPORT - Mr. Harris and Ms. Wright attended the WFEC monthly meeting in Anadarko. Mr. Harris provided an update on items discussed at the WFEC board meeting.


Secret ballots were cast for the election of Representative and Alternate Representative to WFEC Member Meetings and WFEC Meetings of the Board. The votes were tallied and Attorney Frank Wolf announced Marcia Wright would be the Representative and George Burns Alternate Representative.


OAEC TRUSTEE REPORT - A motion was made Mr. Antwine and seconded by Ms. Wright to elect Andrea Slaton for the OAEC Voting Delegate. Motion carried.


A motion was made by Mr. Birchfield and seconded by Mr. Ranger to elect Jon Miles for the OAEC Alternate Voting Delegate. Motion carried.


NRECA - Mr. Burns, Mr. Ranger, and Mr. Harris reported on the NRECA Legislative Rally held May 3-5 at Washington, D.C.


11. CEC BOARD DISCUSSIONS


SAFETY REPORT - The monthly safety statistics report was included in the agenda items for review.


BYLAW COMMITTEE UPDATE - The bylaw committee is continuing to meet on a regular basis. Progress has been made toward identifying proposed bylaw amendments.


COOP LOAN PROGRAM - This agenda item was tabled.


ADJOURN - There being no further business to come before the board, the meeting adjourned at 3:00 pm upon a motion made by Mr. Birchfield and seconded by Mr. Ranger.


OFFICES - A comparative report was given on the number of walk-in customers we have daily in each of the CEC offices.


PURCHASE/REPLACEMENT OF TRUCK - Bids have been received on the purchase of a truck that needs to be replaced. After discussion, motion was made by Mr. Birchfield and seconded by Mr. Brewer to accept Mr. Harris’s recommendation on the bid selection. Motion carried.


EXECUTIVE SESSION - A motion was made by Mr. Antwine and seconded by Mr. Ranger to go into Executive Session for discussion of personnel issues and insurance at 1:50 pm. The board re-convened in open session at 2:15 pm.


A motion was made by Mr. Brewer, seconded by Mr. Birchfield and carried unanimously to approve an extension on the employment contract for Joe Harris.

Automatic Payment Plan. Monthly bill payments are automatically withdrawn from your checking, savings, or credit card account.


Automated Pay-By-Phone. Pay using Visa or Mastercard by calling 800-780-6486, ext. 105. Please have your account number handy when you call.


Prepaid Billing. Pay ahead for your electricity and eliminate late penalties and disconnect fees. Requires an energy purchase of $50 to begin.


After Hours Payments. Use the payment drop box at CEC locations in Hugo, Idabel and Antlers, or use SmartHub to pay online.


Authorized Payment Locations. Pay your bill at any of the following locations Monday through Friday during regular office hours.
