Environmental Although the Group does not have a formal environmental policy, the Group does recognise the importance of environmental responsibility. The Group encourages the active involvement of persons working for and on behalf of the Group to minimise so far as reasonably practicable any adverse effects on the environment of their activities.


Political and charitable contributions No contributions for charitable or political purposes were made during the year (2010: £nil) by the Group.


Annual General Meeting Notice of the Annual General Meeting, together with explanatory notes, is set out on pages 64 to 66.


Auditors The Directors who held office at the date of approval of the Directors’ Report confirm that, so far as they are each aware, there is no relevant audit information of which the Company’s auditors are unaware; and each Director has taken all steps that he ought to have taken as a director in order to make himself aware of any relevant audit information and to establish that the Company’s auditors are aware of that information.


The Company’s former auditors, PricewaterhouseCoopers LLP, resigned on 7 July 2011 and the Directors appointed Ernst & Young LLP to fill the casual vacancy. In accordance with Section 519 of the Companies Act 2006, the former auditors confirmed that there were no circumstances connected with their ceasing to hold office that they considered should be brought to the attention of the Company’s shareholders or creditors. The consent of Shareholders is sought to Resolutions 7 and 8 set out in the Notice of Annual General Meeting which propose the reappointment of Ernst & Young LLP as independent auditors of the Company and to authorise the Directors to determine the auditors’ remuneration.
