BlueScope sells Metl-Span to NCI BlueScope Steel, Kansas City, Mo., announced
the $145 million sale of Metl-Span, Lewisville, Texas, to NCI Group Inc., Houston. The estimat- ed net proceeds of the sale, $117 million after pur- chase price adjustments, tax and fees, is expected to be received during the fourth quarter of FY2012 subject to receipt of necessary regulatory approv- als and fi nalization of debt fi nancing by NCI. BlueScope has owned Metl-Span since Febru-
ary 2008 when it acquired the IMSA Steel Corp businesses—Steelscape, Kalama, Wash.; ASC Profi les, West Sacramento, Calif.; Varco Pruden Buildings, Memphis, Tenn.; and Metl-Span. BlueScope has been actively seeking poten-
tial asset sales that could realize around $100-150 million. The divestment of Metl-Span achieves this target and the net proceeds will be used to pay down debt. BlueScope's North American subsid- iary, Steelscape, will continue to supply product to Metl-Span and Metl-Span will continue to supply product to BlueScope Buildings North America. The acquisition is subject to a number of clos-
ing conditions, including the expiration or termina- tion of any applicable waiting period under the Hart Scott Rodino Act. Mark Dobbins, president of NCI's Compo-
nents Division, commented: "As a past customer of Metl-Span, we have tremendous respect for the organization and the people. It's decades of experi- ence with regards to manufacturing processes, customer service and technical development for insulated metal panel systems will be an invaluable addition to our Components Division. Metl-Span's existing fi ve locations will accelerate our expansion plans and allow us to better service our customers with additional products and opportunities to com- pete in the nonresidential construction market."

Green Span Profi les holds open house Waller, Texas-based Green Span Profi les held
an open house on April 10, 2012 for customers, suppliers and industry friends. Approximately 275 people attended the open house, participated in plant tours, and enjoyed a catered lunch of boiled crawfi sh and BBQ. The menu was selected as a subtle reminder of the Green Span Profi les joint venture. “Being a Texas based company, we felt Texas BBQ was appropriate and the crawfi sh was a tribute to our partner, [Bossier City, La-based] McElroy Metal,” says Brian Jaks, Green Span Pro- fi les’ director of sales and marketing. After months of construction and manufactur-
ing line assembly, the initial Green Span Profi les insulated metal panels rolled off the line in January 2012, of this year. “After so much planning and ef- fort, it felt great to get our new continuous manu- facturing line up and running and start selling our product to customers,” says Kelly Ginn, Green Span Profi les president. Ian McElroy, president of McElroy Metal adds “We have been talking about Green Span Profi les with our customers for close to a year
