The Trust Property also includes all Improvements, Equipment, Leases, and other rights and interests, all as defined and described in the Deed of Trust.


The personal property and non-real estate rights and interests to be offered for sale by the Substitute Trustees shall consist of all forms of personal property located upon or related to the Premises and owned by the owner of the Premises as more particularly described in the Deed of Trust and in the Financing Statement recorded in the Clerk’s Office as File Number 20070322- 0022073, as assigned by 20100730-0044975. No representations or warranties are made as to the existence or condition of any such items, it being the sole responsibility of the purchaser to make such determination. The Substitute Trustees reserve the right to exclude certain personal property from inclusion in the foreclosure sale with the Property. Such excluded items will be announced at the time of the sale.


To bid on the Property, each bidder other than the Noteholder must deliver to the Substitute Trustees prior to the commencement of the sale a bidder’s deposit of the lesser of two million and No /100 Dollars ($2,000,000.00) or ten percent (10%) of the winning bid. The deposit shall be made in the form of a cashier’s check and drawn on a financial institution acceptable to the Substitute Trustees and the Noteholder. The deposit, without interest, will be applied to the purchase price at settlement or returned to the unsuccessful bidders, as applicable. The balance of the purchase price will be due by cashier’s check or by immediately available funds at settlement. The Substitute Trustees reserve the right to withdraw the Property from the sale if they deem the highest bid to be inadequate.


Conveyance of the Property shall be with special warranty and shall be subject to all recorded and unrecorded liens, encumbrances, security interests, easements, rights-of-way, covenants, agreements, conditions, restrictions, leases, occupancy agreements and mechanics and materialmen’s liens, to the extent any of the foregoing may lawfully apply to the Property being sold, or any part thereof, and take priority over the liens and security interests of the Deed of Trust. The sale also shall be subject to all rights, if any, created by any leases of all or a portion of the Property.


All property being sold will be sold “as is, where is.” No representations or warranties are made as to the zoning, structural integrity, physical condition, environmental condition, construction, workmanship, materials, habitability, fitness for a particular purpose or merchantability of all or any part of any property being sold, nor do the Substitute Trustees make any representation or warranty as to the legality of any subdivision. The foregoing disclaimer of representations and warranties is not intended to void or impair any liability or obligation, if any, any other party may have with respect to all or any part of the property being sold. The purchaser recognizes and agrees that any investigation, examination, or inspection of the property being sold is within the control of the owner or other parties in possession and their agents and not within the control of the Substitute Trustees, the Noteholder, or their successors or assigns.


Settlement shall occur in the offices of the Substitute Trustees or such other place as mutually agreed upon, no later than 15 days after the sale, time being of the essence. The Substitute Trustees reserve the right to extend the date of settlement as may be necessary to complete arrangements for settlement. Risk of loss or damage to the Property shall be borne by the purchaser from the strike down of the bid at the foreclosure sale. The purchaser shall pay all settlement fees, title examination charges and title insurance premiums, and all recording costs (including the State Grantor’s Tax). All real estate taxes, if any, and other public charges due as of the date the public auction is held shall be adjusted as of the date of sale, and the purchaser shall be responsible for the payment of all such taxes and charges beginning after the date of such public auction. The Substitute Trustees will not deliver possession of all or any part of the Property being sold.


At the time of sale, the purchaser shall be required to execute a memorandum of sale (the “Memorandum of Sale”) which shall include, by reference, all the terms and conditions herein. In the Memorandum of Sale the purchaser will agree to waive any cause of action it or they may have against the Substitute Trustees, the Noteholder, and their respective agents, successors and assigns, for any condition with respect to the Property that may not be in compliance with any federal, state, or local law, regulation, or ruling including, without limitation, any laws, regulations, and rulings relating to environmental contamination or hazardous wastes. Such agreement also shall provide that, notwithstanding such agreement, if a court of competent jurisdiction should permit such a claim to be made against the Substitute Trustees, the Noteholder or their respective agents, successors and assigns, such agreement shall serve as the overwhelming primary factor in any equitable apportionment of response costs or other liability. Nothing in this paragraph shall release, waive, or preclude any claims the purchaser or purchasers may have against any person in possession or control of the Property. The form of Memorandum of Sale is available from the Substitute Trustee upon request and will be available at sale time.


If any successful bidder fails to complete settlement, his deposit shall be forfeited. There shall be no refunds. Such forfeiture shall not limit any liability of the defaulting purchaser, or any rights or remedies of the Substitute Trustees or the Noteholder, with respect to any such default. After any such default and forfeiture, the Property may, at the discretion of the Substitute Trustees, be conveyed to the next highest bidder on the Property whose bid was acceptable to the Substitute Trustees.


The Substitute Trustees reserve the right to amend or supplement the terms of sale by verbal announcements during the sale, to modify the requirements for bidders’ deposits, to withdraw all or part of the Property from the sale prior to the commencement of bidding, to postpone the sale, and to conduct such other sales as the Substitute Trustees may determine in their discretion.
