MEMBERSHIP Annual General Meeting 2016


NOTICE IS HEREBY GIVEN that the seventy-fourth annual general meeting of the Institute of Biomedical Science (Institute) will be held at the Institute of Biomedical Science, 12 Coldbath Square, London EC1R 5HL on Saturday, 4 June 2016 at 11.30 to: • receive the annual Members Report of the Institute for 2015 and accounts for the year ended 30 September 2015, together with the report of the auditors


• re-appoint haysmacintyre, Chartered Accountants, as auditors for the ensuing year and to agree that their remuneration be fixed by the Council


• announce the result of the election for national and regional members of Council


• consider and, if thought fit, to pass the following special resolution proposed by the Council:


SPECIAL RESOLUTION PROPOSED BY THE COUNCIL Resolutions To amend the Articles of Association of the Institute by making the following changes: 1.1


in regulation 1 adding the following definitions: (K) document

includes, unless otherwise specified, any document sent or supplied in electronic form;


electronic form and have the meaning given to such electronic mean


terms in section 1168 of the Company Act 2006;


(M) writing


means the representation or reproduction of words, symbols or other information in a visible form by any method or combination of methods, whether sent or supplied in electronic form or otherwise.

by deleting article 18 and replacing it with: “18. Every member shall furnish particulars of his address and any change thereof to the Secretary of the Institute including any electronic address such as email.”;

by deleting regulation 36 and replacing it with: “Times for lodging resolutions 36.


All resolutions which it is desired to submit to the annual general meeting in any year shall be lodged at the Office not later than 31 January preceding the date of the meeting and all resolutions which it is desired to submit to an extraordinary general meeting shall be lodged at the Office not less than six weeks prior to the date of the meeting. Except in the case of a meeting convened upon the requisition of members, no resolution shall be submitted which has not been approved first by the Council. Submission may be made by electronic form or by electronic means.”

by deleting regulation 42 and replacing it with: “Deposit of instrument appointing a proxy 42.


The instrument appointing a proxy shall be deposited at the Office not less than 48 hours before the time for holding the meeting or adjourned meeting at which the person named in the instrument purposes to vote, and in default the instrument of proxy shall not be valid. The deposit of the proxy may be made via electronic email or electronic form.”

by deleting regulation 62 and replacing it with: “Ballot papers 62. Ballot papers containing the names of all candidates and clear and precise directions as to the number of vacancies and the method of voting, shall be sent by any of the valid methods of delivery permitted by article 74.” And

by deleting regulation 74 and replacing it with: “Notices 74.1 The Institute can deliver a notice or other document, including the Institute’s financial reports, to a member:


74.1.1 by delivering it by hand to the address recorded for the member on the register;


74.1.2 by sending it by post or other delivery service in an envelope (with postage or delivery paid) to the address recorded for the member on the register;


74.1.3 by fax to a fax number notified by the member in writing; 74.1.4 by electronic form or electronic means to an address notified by the member in writing;


74.1.5 by a website the address of which shall be notified to the member in writing; or


74.1.6 by advertisement in at least two national newspapers in the United Kingdom.


74.2 This article does not affect any provision in any relevant legislation or the articles requiring notices or documents to be delivered in a particular way.


74.3 If a notice or document is delivered by hand, it is treated as being delivered at the time it is handed to or left for the member.


74.4 If a notice or document is sent by post or other delivery service not referred to below, it is treated as being delivered:


74.4.1 48 hours after it was posted, if first class post was used; or 74.4.2 72 hours after it was posted or given to delivery agents, if first class post was not used, provided it can be proved conclusively that a notice or document was delivered by post or other delivery service by showing that the envelope containing the notice or document was:


74.4.3 properly addressed; and 74.4.4 put into the post system or given to delivery agents with postage or delivery paid.


74.5 If a notice or document is sent by fax, it is treated as being delivered at the time it was sent.


74.6 If a notice or document is sent by electronic form or electronic means, it is treated as being delivered at the time it was sent.


74.7 If a notice or document is sent by a website, it is treated as being delivered when the material was first made available on the website or, if later, when the recipient received (or is deemed to have received) notice of the fact that the material was available on the website.


74.8 If a notice is given by advertisement, it is treated as being delivered at midday on the day when such advertisement appears in the newspapers.


74.9 Any member whose address is not described in the Register of Members, and who shall not have designated in writing an address for the receipt of notices, shall not be entitled to receive any notice from the Institute.”
