In the deal, OPI will acquire all of the outstanding common shares of DHC in an all-share transaction, which was unanimously recommended by special committees of the respective boards of OPI and DHC and then unanimously approved by the respective full boards. OPI will be the surviving entity and will change its name to Diversified Properties Trust upon closing. The combined company will be led by members of the OPI executive management team, among them President and Chief Operating Officer Christopher Bilotto and Chief Financial Officer and Treasurer Matthew Brown. At 40%, senior living will represent the largest property type in the combined portfolio, with office properties representing 35%. Medical of- fice buildings will represent 12%, and life science properties will represent 9%. The company is expected to trade on The Nas- daq Stock Market LLC.

Benchmark Senior Living, the largest se- nior housing provider in New England, announced that Meghan Wentworth, the mind and memory care director for Bench- mark at Rye, N.H., has been selected by New Hampshire Gov. Chris Sununu to serve on the state’s Alzheimer’s and Related De- mentia Subcommittee. Wentworth will represent the assisted living industry as the subcommittee’s sole assisted living repre- sentative. Established in 2014, the subcom- mittee oversees Alzheimer’s in the state, in- cluding developing educational programs and training as it advocates for the more than 26,000 individuals and the 58,000 caregivers in New Hampshire effected by dementia. It includes representatives from care providers, state agencies, law enforce- ment, state legislators, caregivers and oth- er individuals impacted by Alzheimer’s. “I am incredibly honored to be able to serve New Hampshire families in this way,” said Wentworth. “There is still so much that needs to be done to support the growing number of families facing a dementia di- agnosis and I’m thrilled to be able to share my experience.”
