Transactions

91 Legal advisers to Mondi Group: Legal adviser to the vendor:

Due diligence provider: Tax adviser: Virtual data room provider:

What were the main challenges that arose? How did you overcome them?

The team of Hauser Partners was able to meet the client's expectations to handle a large volume multinational transaction at a very high speed. This was possible due to the long experience of our team in handling cross-border M&A transactions.

What other deals have you been involved in recently?

Recent transactions handled by Hauser Partners include:

•Advising a joint venture partner and drafting the joint venture agreements for a major hydroelectric pump reservoir station in Austria.

•Advising an overseas investor in the acquisition of a substantial package of shares in an Austrian listed company.

•Representing the Austrian party in the setting up of a major production Joint Venture in Erbil, Iraq.

•Representing Erste Group Bank AG in negotiations with the minority

shareholders of Banca Comerciala Romana S.A. (BCR) and the capital increase of Erste Group Bank AG through contributions of the shares of these minority shareholders.

Is there anything else you would like to add?

The completion of this highly complex transaction was only possible because of Hauser Partners’ long standing business-relationship with Mondi Group and its great experience in advising in major cross-border M&A transactions.
