Motherson to take over Honda sunroof and fuel tank producer

Indian automotive components maker Samvardhana Motherson International has entered into an agreement to acquire an 81% stake in the Yachiyo 4W business, which makes almost all Honda Motor’s sunroof and fuel tank systems. The overall transaction involves Honda buying the shares it does not already own in exchange- listed Yachiyo and consolidating Yachiyo’s 2W business (housed under Goshi Giken).

Motherson said that forming an

81:19 strategic partnership with Honda Motor will drive the Yachiyo 4W business towards a strong and sustain- able future and be fully prepared for next-generation products and tech- nologies. The close proximity to Honda

Motor plants across the globe provides an opportunity to offer existing products from Motherson to Honda Motor globally. The Yachiyo 4W business includes 13 plants and three R&D centres employing 3,200 people in eight countries, including the USA, Brazil, Mexico, China, Japan, Thailand, Indone- sia and India. It reported turnover of JPY116bn in the 2023 financial year. Sunroof systems have high growth potential globally due to an increase in demand and are expected to see a surge in application across all car segments, said Motherson. “With its experience of working alongside a global OEM like Honda Motor and coupled with its own

technologically advanced R&D capabilities, Yachiyo 4W is well positioned to cater to an evolving industry landscape and future mobil- ity,” said Motherson. Next-generation products produced

by Yachiyo 4W include plastic tail gates and type-IV hydrogen storage tanks. Honda Motor currently owns 50.4%

in Yachiyo and is set to launch a tender offer for the other shares. It must reach a minimum threshold of 66.7% of Yachiyo shares, at which point it can buy out the remaining shares, making it into a wholly owned subsidiary. Honda Motor can then go ahead with the Motherson transaction. www.motherson.com www.en.yachiyo-ind.co.jp
