IMPORTANT NOTICE TO BIDDERS
BEFORE THE AUCTION Guide Prices The Auction Team at CBRE Limited (“CBRE”) will provide intending bidders with an estimated sale price for each lot. Any Guide Price or any estimate of the level of rent which may be obtained at any future time is not to be treated as a valuation of such property or a guarantee of such level of rent for any purpose whatsoever and may not be relied upon as a representation relating to the same. All bidders must satisfy themselves as to the accuracy of any such estimates. Guide Prices may alter during the marketing period and may not relate to the Reserve Price which is confidential to the Auctioneers Inspections It may be possible to arrange an internal inspection of any property offered, subject to the consent of any occupier. We will be pleased to make the necessary arrangements but require at least 48 hours notice. Legal Documents Leases, title documents and other legal papers are normally held by the respective seller’s solicitors shown in the particulars of each lot in this auction catalogue or via our website (
www.cbre.co.uk/auctions). A copy of these are available direct from Vendor’s Solicitors but there may be a small administrative charge. You are advised to make all your enquiries well before the Auction. In particular you are advised to request up to date details from the Seller’s Solicitors about any arrears of rent or service charge or other monies due to the landlord of any lot. If you are having difficulties in receiving any of the legal documentation please let us know. Sales Prior It is possible that some properties may have been withdrawn or sold prior to the Auction. It is advisable for interested parties to register their interest with us and it is their responsibility to check with the Auctioneers immediately prior to the Auction whether a particular lot will be offered or whether it has been withdrawn. Telephone, Proxy and Internet Bidding It is strongly recommended that you make every effort to attend the Auction and bid in person. However, in the event that you are unable to attend, it is possible, by prior arrangement, for you to authorise the Auctioneer to bid on your behalf up to your specified limit (proxy bid) or for you to bid by telephone or on the internet. This can only be done if we have first received the completed telephone/proxy/internet bidding form, a deposit cheque or bank draft drawn on an account of the buyer at a UK clearing bank (in favour of the seller’s solicitors named in the description of the lot in this auction catalogue) or an instruction from your Solicitor giving an undertaking to pay the deposit monies to the Vendor’s Solicitor using the Clearing House Automated Payment System (the Seller’s Solicitor’s bank details are contained in the Special Conditions), a copy of the Special Conditions prepared by the Seller’s Solicitor and each page initialled by you, a copy of any addendum that is available relating to the property that you intend to bid for initialled by you and the signed Memorandum of Agreement (on the inside of the back cover of this auction catalogue), returned to our offices at least 2 working days prior to the sale. If your bid is not successful, the deposit cheque or bank draft will be returned to you or destroyed according to your instructions.
AT THE AUCTION The Auctioneer will start promptly at the appointed time. Before offering the lots he will make a number of important announcements in his preliminary remarks. Addendum In the event that there are any additions or amendments to the particulars or any of the conditions of sale, an addendum relating thereto will be available for inspection by bidders and such Addendum will be attached to the Memorandum of Agreement and form part thereof and will be signed for, and on behalf of the successful bidder as buyer. The buyer shall be deemed to have read and considered such Particulars, Conditions and Addendum and have full knowledge thereof. Order of Sale The Auctioneer reserves the right to alter the order of sale and/or to withdraw any lot from the Auction without any liability on the part of either CBRE or the seller for any losses, costs or expenses incurred as a result of such alteration or withdrawal. The Sale If the Auctioneer’s gavel falls to your bid, you are the successful purchaser of the relevant lot and there will then exist a binding contract between you and the seller, which is documented by the Memorandum of Agreement. One of the Auctioneer’s clerks will ask you to complete a bidders card with your name, address and the name and address of your solicitors. This will be used to complete the Memorandum of Agreement. When completing the bidder’s card, you must specifically name the person or organisation that is to be the buyer of the lot. Lots cannot be transferred to an unnamed buyer. Reference on the bidder’s card to the buyer’s ‘nominees’, ‘associates’ or similar terms are not acceptable. Unless you obtain the seller’s prior consent, the lot can only be transferred to the buyer named on the bidder’s card and Memorandum of Agreement. Before leaving the room and shortly after completing the bidder’s card please make yourself known to the Auction contract staff who will provide you with the Memorandum of Agreement for your signature.
Proof of Identity The purchaser and bidder is to provide an original document each of the below: (1) Proof of name: Photocard driving licence or passport. (2) Proof of address: Driving licence (with or without photo) or Utility Bill issued within the last 3 months (excluding mobile phone bill).
Deposit Monies Unless otherwise stated in the Special Conditions, the 10% or £1,000 deposit (whichever is the greater) should be made payable to the seller’s solicitors (named in the particulars of each lot in the auction catalogue). Only a banker’s draft or a cheque drawn on a UK Clearing Bank will be accepted. Such cheque or banker’s draft will be presented for immediate clearance and you should ensure that there are adequate funds in the account to honour the payment. VAT VAT may be chargeable on the purchase price of the property. Unless otherwise specified in the Special Conditions, all bids will be made on a VAT exclusive basis and VAT will be added to the amount of the successful bid. Questions We do not entertain any questions during the Auction. Bidders will be expected to have satisfied themselves regarding all aspects of the lot prior to the sale commencing.
GENERAL Particulars CBRE (and any Joint Auctioneer where applicable) for themselves and for the seller of each lot, whose Agents they are, give notice that: • The Particulars do not constitute the whole or any part of an offer or a contract (except to the extent that they are incorporated in the Memorandum of Agreement by the General, Extra or Special Conditions of Sale).
• All statements contained in these particulars as to each lot are made without responsibility on the part of CBRE (and any Joint Auctioneers where applicable) or the seller and are not intended to be relied upon.
• All descriptions, dimensions and other particulars of each lot are given in good faith and are believed to be correct and any intending bidder shall not rely on them as statements or representations and must satisfy themselves (by inspection, enquiry or otherwise) as to the correctness of them.
• No persons in the employment of CBRE (and any Joint Auctioneers where applicable) has any authority to make or give any representation or warranty in relation to any lot.
• CBRE has not made any investigations into the existence or otherwise of any issue concerning pollution, potential land, air or water contamination affecting any lot and each bidder shall be responsible for making his own surveys and enquiries in this regard.
• The stated uses of the respective lots are not warranted as being permitted or lawful under any planning legislation and prospective buyers are advised to make their own searches and enquiries and to rely upon the results thereof.
• Nothing in the particulars of lots or otherwise contained in this auction catalogue shall be deemed to be a statement that the property is in good repair and condition, or that any services or facilities are connected and in working order.
Plans and Photographs The Site, Location and Traders Plans in this catalogue are reproduced from or based upon the Ordnance Survey map with the permission of The Controller of Her Majesty’s Stationery Office Crown Copyright Reserved Licence No ES755990. They are published only for the convenience of bidders. Their accuracy and the shading and/or boundaries thereon are not guaranteed and they are expressly excluded from any Memorandum of Agreement. The Traders Plans and Location plans reproduced in this catalogue are merely intended to indicate the location of each lot in relation to other traders represented nearby who may have changed by the day of the auction. Any photographs included in the description of any lot are merely intended to provide purchasers with an approximate indication of the location, character and style of the relevant property. Neither Traders Plans nor photographs of any lot depict the boundaries thereof and are published solely for the convenience of bidders and are expressly excluded from the Memorandum of Agreement. Conditions of Sale and Legal Matters • Each lot is offered and sold subject to Common, Extra and Special Conditions of Sale. The Common and Extra Conditions are at the back of the catalogue and the Special Conditions are available from the seller’s solicitors and should be fully understood.
• Prospective bidders are advised to consult their legal and, where appropriate, other professional advisors, prior to bidding.
Plant & Equipment None of the systems or equipment in or on any lot has been tested by the Auctioneers and bidders should make or commission their own investigations and report on such systems and equipment. Energy Performance Certificate (EPC) An EPC has been ordered for each property and if available at the time of going to print, will be contained in the Appendix at the back of the catalogue. If they were not produced in time to meet the printer’s deadline, they will be made available immediately before the sale.
IMPORTANT Prospective purchasers are advised to contact the Auctioneers immediately before the auction to establish whether any particular lot has been sold and/or withdrawn.
