MINUTES OF THE 73nd ANNUAL Pursuant to notice, the 73rd


MEMBERSHIP MEETING ON APRIL 1, 2011 Annual Membership Meeting of


the members of Harmon Electric Association, Inc., was held on Friday, April 1, 2011 in the Hollis Civic Center, City of Hollis, Harmon County, Oklahoma. The secretary declared a quorum of members was present and


registered with the following number registered at the meeting: District No. 1

Said members present, consisting of at least five percent (5%)


of all duly accepted members of the Association, constituted a quorum in accordance with Article III, Section 4 of the bylaws. Thereupon, the meeting was officially declared open for the transaction of business. The secretary-treasurer Billy R. Nowell kept the minutes of


the meeting. The invocation was given by Ronnie Myers. Burk Bullington, president, called the meeting to order and


welcomed the members to the annual meeting. A drawing of 7-$50.00 cash prizes, one in each district, was


held at this time. Also, the name of the $100.00 winner was drawn but would not be announced until the end of the meeting. Charles Paxton, General Manager, introduced the board


of trustees, employees and special guests. He directed the members’ attention to the Annual Report and to the Statement and Conditions printed in the annual report. Mr. Paxton informed the membership of some of the changes in the electric industry. Mr. Chris Meyers, General Manager for Oklahoma


Association of Electric Cooperatives (OAEC), was then introduced. Mr. Meyers discussed the role of OAEC and their efforts to keep watch on the political issues that can affect our lives. He discussed the fragile state of our economy, climate change, and other legislative issues we face. Mr. Meyers thanked

the board for their political activity and the support of Speak Up Rural Electric, SURE. Mr. Paxton shared a power point presentation of the 2010 ice


storm, facts and figures, and his day to day journal of the ice storm and what we all pray is a once in a lifetime experience. Mr. Gary Roulett, General Manager for Western Farmers


Electric Cooperative discussed What Can We Do as Consumers? He pointed out areas in our daily lives where small changes like cutting our consumption during the peak hours of 3:00 p.m. to 6:00 p.m. summers and 6:00 a.m. to 9:00 a.m. winters can help to lower our electric bills. Small changes can make a difference. Mr. Paxton presented to the members for approval, the Notice


of Annual Meeting, Certificate of Mailing, Certificate of Duly Accepted Members, and 2010 Annual Membership Meeting Minutes.


It was moved by Jim Moore and seconded by Ralph


Bauer to dispense with the reading of said notice, certificates and minutes and said items be approved. Motion Carried. Mr. Paxton announced the next order of business would


be voting for trustees. The candidates that have qualified for nomination pursuant to Article III, Section 7 for election are the following:


District 1 Pete Lassiter District 5 Burk Bullington


Mr. Paxton announced the seating of Pete Lassiter, District 1


and Burk Bullington, District 5. A drawing of door prizes was held at this time. The manager then called for any old business or questions,


there were none presented. Mr. Paxton called for new business to be presented and there being none he declared the business session of the meeting closed. A final drawing of the $50.00 cash prize was held and the


announcement of the $100.00 cash prize winner. There being no further business, the meeting was declared


adjourned.
