The property will be sold to the highest bidder. To bid on the property, each bidder other than the Noteholder or any affiliate of the Noteholder, must deliver to the Substitute Trustees before the commencement of the sale a bidder’s deposit of $70,000.00. The deposit shall be made payable to “Bernard E. Goodman, Substitute Trustee,” in the form of a certified or cashier’s check drawn on a financial institution acceptable to the Substitute Trustees. The deposit, without interest, will be applied to the purchase price at settlement or returned to the unsuccessful bidders, as applicable. The balance of the purchase price will be due by certified check or by immediately available funds at settlement together with interest thereon at a rate equal to 10% percent per year from the date of the foreclosure sale until the date the purchase price is paid in full (with no interest being required if the purchaser is the Noteholder or an affiliate). The Substitute Trustees reserve the right to withdraw the property, or any portion thereof, from the sale if they deem the highest bid or bids to be inadequate or for any other reason.
Conveyance shall be with special warranty and shall be subject to all recorded and unrecorded liens, encumbrances, security interests, easements, rights-of-way, covenants, conditions, restrictions, leases, and mechanics’ and materialmen’s liens, to the extent any of the foregoing may lawfully apply to the property being sold or any part thereof and take priority over the liens and security interests of the Deed of Trust.
All property being sold will be sold “as is, where is.” No representations or warranties are made as to the zoning, extent of construction structural integrity, physical condition, environmental condition, con- struction, workmanship, materials, habitability, fitness for a particular purpose, applicability of any condominium or homeowners regime or association, or merchantability of all or any part of any property being sold. The foregoing disclaimer of representations and warranties is not intended to void or impair any liability or obligation, if any, any other party may have with respect to all or any part of the property being sold. The purchaser recognizes and agrees that any investigation, examination, or inspection of the property being sold is within the control of the owner or other parties in possession and their agents and not within the control of the Substitute Trustees, the Noteholder, or their successors or assigns.
Settlement shall occur in the offices of the Substitute Trustees or such other place as mutually agreed upon, no later than fifteen (15) days after the sale, time being of the essence. The Substitute Trustees reserve the right to extend the date of settlement as may be necessary to complete arrangements for settlement. Risk of loss or damage to the property shall be borne by the purchaser from the time of the Trustees’ strikedown at the foreclosure sale. Real estate taxes, any applicable utilities or assessments and other public charges shall be prorated as of the date the public auction is held, and the purchaser shall be responsible for the payment of such taxes and charges beginning as of the date of such public auction. The purchaser shall pay all settlement fees, title examination charges and title insurance premiums, and all recording costs (including the state grantor’s tax). The Substitute Trustees will not deliver possession of all or any part of the property being sold.
The purchaser shall be required to sign an agreement at the foreclosure sale waiving any cause of action it or they may have against the Substitute Trustees for any condition with respect to the property that may not be in compliance with any federal, state, or local law, regulation, or ruling, including without limitation any laws, regulations, and rulings relating to environmental contamination or hazardous wastes, or homeowners or condominium regimes, if any be applicable. Such agreement shall also provide that, if notwithstanding such agreement, a court of competent jurisdiction should permit such a claim to be made against the Substitute Trustees, such agreement shall serve as the overwhelming primary factor in any equitable apportionment of response costs or other liability. Nothing in this paragraph shall release, waive, or preclude any claims the purchaser or purchasers may have against any person in possession or control of the property.
If any successful bidder fails to complete settlement, its deposit shall be forfeited and applied to the costs of the sale and to the secured indebtedness. There shall be no refunds. Such forfeiture shall not limit any liability of the defaulting purchaser, or any rights or remedies of the Substitute Trustees or the Noteholder, with respect to any such default, and the defaulting purchaser shall be liable for all costs of re-sale of the property (including attorney fees of the Noteholder and the Substitute Trustees), plus any amount by which the ultimate sale price for the property is less than the defaulting purchaser’s bid. After any such default and forfeiture, such property may, at the discretion of the Substitute Trustees, be conveyed to the next highest bidder on such property whose bid was acceptable to the Substitute Trustees. In the event the Substitute Trustees do not execute a deed of conveyance, the purchaser’s sole remedy shall be the refund of its deposit plus $100.00, and upon such refund and payment the sale shall be void and of no further force or effect, and the purchaser shall have no claim against the Substitute Trustees.
The Substitute Trustees reserve the right to amend or supplement the terms of sale by verbal announcements during the sale, modify the requirements for bidders’ deposits, withdraw all or part of the property from the sale before the commencement of bidding, recess the sale, and conduct such other sales as the Substitute Trustees may determine in their discretion.
Immediately upon delivery of the deed for the property by the Substitute Trustees, all duties, liabilities, and obligations of the Substitute Trustees, if any, to the purchaser with respect to the property shall be extinguished.
