PROPOSED 2017 AFSA BYLAW CHANGES 1. TITLE CHANGE OF CHIEF EXECUTIVE
OFFICER AND ELIMINATING TITLE OF CHIEF OPERATING OFFICER:

Proposed Bylaw Change: Change the Chief Executive Officer back to Executive Director and eliminate the title of Chief Operating Officer. All electronic and paper documents referencing both the CEO and COO will be altered to reflect the correct title of Executive Director.
2. AMENDMENTS TO AFSA MANUAL 100-1, BYLAW 15, SECTION 1:
Under Bylaw 15 Section 1, Procedures, change “pub- lished in the offi cial AFSA magazine” to “published in an offi cial AFSA publication” to read as follows:
“These bylaws may be amended or repealed by a two- third vote (to include assigned voting strength) of the respective delegates present at any Annual AFSA Inter- national Conference, Convention, and/or Meeting(s), duly called and regularly held; notice of such proposed AFSA amendments is to be published in an official AFSA publication at least 45 days before such Confer- ence, Convention, and/or Meeting(s)”
Bylaw 5, Section 2, Notice of Meetings, to read as follows:
Notice of Meetings, which reads “Notice of time and place of every AFSA International Convention, Confer- ence and/or Meeting(s) shall be sent to each member or published in the official AFSA publication at least four months prior to such.”
3. BYLAW 13, AFSA CHIEF EXECUTIVE OFFI- CER AND STAFF, SECTION 2, AUTHORITY AND RESPONSIBILITY:
a. The CEO shall be responsible for all management functions, in accordance with the mandates and policy directives of the International Executive Councils.
b. The CEO shall employ, and may terminate the employ- ment of, members of the staff necessary to carry on the work of AFSA and fi x their compensations within the approved budget.
c. The CEO shall defi ne the duties of the staff, supervise their performance, establish their titles, and delegate those responsibilities of management as shall, in the CEO’s judgment, be in the best interest of AFSA.
d. The CEO shall execute contracts in the name of AFSA pursuant to authority vested in him by the AFSA Bylaws, Policies and Procedures Manual, International Executive Council, and International President.
e. The CEO shall be the custodian of the corporate records and the seal of the corporation, and shall see that the seal is affi xed to all documents, the execution of which on behalf of the corporation under its seal, is duly authorized.
f. The CEO should act as secretary at the Annual AFSA International Conference, Convention, and/or Meeting(s) and at all meetings of the International Executive Council, and shall keep a record of all the proceedings thereof.
g. The CEO shall maintain a register of all members of AFSA.
h. The CEO shall receive, collect, safely keep, and, under the direction of the International Executive Council, disburse all funds of AFSA and make reports of receipts and disbursements as required.
i. The CEO shall perform all other duties assigned to him by the AFSA Bylaws, Policies and Procedures Manual, Inter- national Executive Council, or the International President.
The duties in Section 2 of Bylaw 13 (as stated above) should be placed in AFSA Manual 100-2 along with other duties that are required to manage the staff and operate the HQs effectively.
