he EICF AISBL, shall be holding its Annual General Assembly meeting next 2 of June. Again,
as last year, the GAM shall be held virtual but in line with the new provisions of the Act amending the Belgian Companies and Associations Code. This new act has been adopted
containing various temporary and structural provisions on justice “in the framework of the fight against the spread of the COVID-19 coronavirus” (Belgian Official Journal, Dec. 24, 2020). The Act has as its primary objective
to take urgent measures with regards to the decision-making of companies and associations in the framework of the fight against the COVID-19 pandemic, but it also proposes a number of definitive measures in the context of the digitisation of the decision-making process of companies and associations. With respect to associations, the
Act in particular provides ways for the organisation of virtual general

meetings, the right for the members to cast upfront votes by electronic means and the decision-making process through written resolutions of the members. With this Act a settled legal
coverture is being given to companies and associations by allowing the holding of the General Assembly meetings and Board meetings online, beyond the special Royal Decree of 9 of April 2019 which supported provisionally those actions in 2019. EICF AISBL shall be holding
the 2021 Annual General Assembly meeting in Porto at the Zollern & Comandita premises, satisfying the requirements of the physical presence of the bureau (Chairman) at the General Assembly meeting place. The rest of attendees shall be connecting online and shall attend virtually into the meeting place. Consequently, strictly speaking the virtual general assembly is in fact a semi-virtual general assembly with the bureau (limited to the Chairman only) being
the only one who is physically present. Convening notice with the agenda
and associated documentation shall be sent to all EICF members in advance at least 15 days prior to the General assembly date, with indication of the applicable procedures relative to the members identification, remote participation rules and the means to exercise the voting rights and voting procedure.
Complementary details shall be
given directly to EICF members and the Virtual General Assembly policy shall be published at the EICF website. The EICF would like to encourage
their members to join this meeting in the virtual world to reinforce the presence and cooperation among members by sharing
the common
thread of the European IC Industry during these specific difficult times. Looking forward to meeting you
