Information Services Group acquires stake in Convergent Technologies Partners


In April, ISG acquired CCI Consulting Pty Ltd (CCI), a leader in business- to-business client research and benchmarking based in Australia, and in March formed an ISG majority-owned joint venture in Italy with Convergent Technologies Partners S.p.A. (CTP), a leader in providing information technology advisory services to the Italian public sector. ISG acquired 51% of CTP and has the option to buy the remainder in 2017. The initial payment, net of cash received, for both transactions was $1 million. “Our acquisition of CCI and our joint venture with CTP expand our capabilities and presence in two areas of increasing importance to ISG: research and benchmarking in Asia Pacific and the public sector in Europe,” said Connors. “CCI provides research and client satisfaction measurement to service providers and enterprises primarily in Australia, and is a natural complement to our assessment services that help clients measure, among other things, service-level agreements and the cost of services.


Nunziante Magrone assisted ISG Information Services Group, a company listed in NASDAQ, a leading technology insights, market intelligence and advisory services company, in negotiating the acquisition of the 51% of the share capital of CTP (Convergent Technology Partners) S.p.A., an Italian company operating in the field of Information technology consulting for Italian public companies.


The law firm has provided its assistance in the negotiation of all the relevant agreements required to finalize the deal, including the terms and conditions of put and call option for the purchase of the remaining portion of the CTP (Convergent Technology Partners) S.p.A. share capital to be exercised by the end of 2017.

D&D London acquires Madison venture


LDC backed premium restaurant group D&D London Limited, which owns over 30 restaurants in London, Leeds, Paris, New York and Tokyo, has purchased the highly profitable rooftop venue Madison Bar and Restaurant, at London's One New Change.


D&D are unique in the high end dining space and boast a diverse portfolio of outlets, including some of London's most iconic restaurants, such as Coq d'Argent in the City, Quaglino's in Mayfair, the Bluebird in Chelsea and Plateau in Canary Wharf.


Harris Hagan comments: We have acted for D&D London as their specialist alcohol and entertainment licensing solicitors since the company was formed. Harris Hagan was instructed to advise on the licensing aspects of the company's recent acquisition of Madison Restaurant.


Liz Southorn, consultant and former partner at Harris Hagan, led the firm's licensing involvement, assisted by Francesca Burnett-Hall. Messrs Olswang dealt with the property acquisition for D & D whilst Moon Beever acted for the vendor administrators at Griffins.


With an ever-moving completion time, D&D did not want any break in the lunch time service at the still-trading restaurant whilst the licence was transferred and variation of licensed personnel authorised.


This was achieved by Francesca Burnett-Hall's personally serving the documents on the relevant authorities simultaneously with receiving confirmation of completion, having camped for four hours in the coffee shop nearest the council offices, with documents, red-hot iPad and mobile phone, awaiting the call to sprint!


Lunchtime diners at Madison were (lawfully) served their starters by the sellers, and their dessert by D&D with no break in service. LM
