Trustee Qualifications Candidate fi ling period is July 10-14, 2017

n July, three trustees will host mee ngs in their membership districts. The purpose of the mee ngs, in accordance with the Coopera ve’s bylaws, is to provide the opportunity for members to nominate candi- dates for trustee.


To ensure our members understand the qualifi ca ons and nomina on requirements, we have included excerpts from the Coopera ve bylaws. The full text of the bylaws can be found on our website, www.neelectric.com, or you may call the Coopera ve at (800) 256-6405 to receive a copy.


SECTION 4.02. Qualifi ca ons No person shall be eligible to become or remain a trustee of the Coopera ve who:


(a) while serving on the Board or during the fi ve (5) years preceding nomina on thereto shall have been fi nally adjudged to be guilty of a felony; or


(b) is, becomes, or within the last fi ve (5) years has been employed by the Coopera ve, a subsidiary of the Coopera ve or a labor union which represents, or has represented, or has endeavored to repre- sent any employees of the Coopera ve; or


(c) is, and if elected and seated as a trustee will con nue to be, a close rela ve of an incumbent trustee or of an employee of the Coopera ve; or


(d) has not con nuously been, for at least one (1) year prior to nomina on, or who ceases a er elec on to be, a member in good standing of the Cooper- a ve, receiving service therefrom at a permanent and year-round residence which is the member’s primary residen al abode in the Trustee District from which the member is elected; or


(e) is not at least eighteen (18) years old; or


(f) is in any way employed by or fi nancially interested in a substan ally compe ng enterprise or a busi- ness selling electric energy, services, or supplies to the Coopera ve or its subsidiary businesses; or


(g) is any way employed by or fi nancially interested in a business selling electrical or plumbing equip- ment, appliances, fi xtures, supplies or wiring to the members.


Notwithstanding the restric ve provisions of this Sec-  on that are based upon close rela ve rela onships,

no incumbent trustee shall lose eligibility to remain a trustee or to be re-elected a trustee if, during incum- bency, the trustee becomes a close rela ve of anoth- er incumbent trustee or of a Coopera ve employee because of a marriage or an adop on to which the trustee was not a party.


Upon establishment of the fact that a nominee for trustee lacks eligibility under this Sec on or as may be provided elsewhere in these Bylaws, it shall be the duty of the Board to disqualify the nominee. Upon the establishment of the fact that any person being con- sidered for, or already holding, a trusteeship or other posi on of trust in the Coopera ve lacks eligibility under this Sec on, it shall be the duty of the Board to withhold such posi on from such person or to cause such person to be removed therefrom, as the case may be.


SECTION 4.06. Nomina ons Any member desiring to be nominated as a candidate for Trustee from the district of his/her residence, shall fi le, with the Coopera ve, wri en no ce on a form provided by the Coopera ve, of his/her candidacy and inten on to seek nomina on for the offi ce of Trustee from his/her district at such  me as may be designat- ed as the offi cial fi ling period by the Board of Trustees. Only persons fi ling such wri en no ce of candidacy and inten on to seek nomina on shall be eligible for nomina on at said mee ng.•
