Sean Kelly


Kelly is a corporate partner specialising in mergers and acquisitions, corporate reorganisation and restructuring, management and leveraged buyins and buyouts, corporate finance and insolvency.


He acts for buyers (both domestic and cross- border), sellers, management teams, private equity houses, investors (both institutional and individual), banks and other funders.


Kelly has extensive experience in M&A and private equity transactions across a broad range of industry sectors including travel, retail, transport, maritime, technology and other areas.


Transaction experience includes the management buyout of Towergate Financial and John Charcol, the sale of Red Funnel, the sale of HobbyCraft, the merger of Pro-Bel and Snell & Willcox, the sale of Lambert Brothers Haulage, the MBI of Andante Travel and the secondary buyout of Specialist Tours.


He won the Solent Deals Awards ‘Lawyer of the Year‘ in July 2014.


John Newton


Newton has over 30 years‘ experience in a wide range of commercial property work. He has particular expertise in the acquisition and disposal of property portfolios, landlord and tenant negotiation, lease renewal negotiations, property management, agricultural property, joint ventures, development and funding arrangements and acting for professional and retail occupiers with multiple sites.


Newton has advised insolvency practitioners on the real estate aspects of both corporate and personal insolvencies, and advises major UK and foreign banks in relation to secured lending.


He deals with all aspects of planning law, including advice on planning applications and applications for lawful use certificates, s.106 agreements, unilateral undertakings and enforcement.


He has extensive experience in the farming and agricultural sector, acting for both working farmers and some of the UK‘s largest institutional investors in agricultural land.
