In execution of a Deed of Trust, Assignment of Rents and Leases, and Security Agreement (the “Deed of Trust”) dated January 25, 2007, in the original amount of $3,000,000, and recorded among the land records of Clarke County, Virginia (the “Land Records”) in Deed Book 474 at Page 394, as corrected in Deed Book 489 at Page 977, which Deed of Trust also constitutes a security agreement and creates a security interest in all the fixtures and personal property described in the Deed of Trust, default having been made in the payment of the debt therein secured the undersigned Substitute Trustees, any of whom may act, will offer for sale at public auction by the front entrance to the Clarke County Courthouse, 102 N. TRACT NO. 1: All of that certain tract of land situated in Chapel Magisterial District of Clarke County, Virginia, near Briggs Station, and known as “Woodley”, containing two hundred and twenty and twenty-three hundredths (220.23) acres, more or less, and bounded on the north by the Kerfoot land, on the east by the land of the late Conrad Brown, on the south by the County Road leading from the Old Chapel to the Shenandoah River, and on the west by the land of George H. Levi, and being the eastern portion of said tract of land which one George W. Levi died seized and possessed.


The said western boundary above mentioned starts at a locust post on the northern side of the road leading from the Berryville and Millwood Turnpike to the land hereby conveyed and separating the said “Woodley” Farm from the Kerfoot Farm, which said locust post is a distance of 278 from the eastern edge of the Norfolk &Western Railway right of way, and thence running in a southerly direction through the said Farm on a line parallel, or nearly so, with the Norfolk & Western right of way across a Cherry Tree stump in the said Farm at or near a Hickory Tree on the north said of the country road running from the Old Chapel to the Shenandoah River, and bounded the farm on the South as aforesaid.


Also, a 30 foot (30’) right of way leading from the far corner of the field east of the dwelling house and next to the line of the late Conrad Brown to and across a running stream of water from the Kerfoot Farm, the said lane being bounded on the east by the Huffs’ land and on the west by the said Kerfoot Farm, including the free and equal use of that certain right of way, 30 feet in width, therein described and being the same real estate which was conveyed to Graham Dougherty and Maria N. Dougherty by deed dated October 26, 1933 from Fred G. Liady, unmarried, and of record in the Office of the clerk of the Circuit Court of Clarke County, Virginia, in Deed Book 21, at page 585.


TRACT NO. 2: All of that certain tract of land situated in Chapel Magisterial District of Clarke County, Virginia, near Briggs Station, described as follows: Bounded on the east by the Dougherty Farm, the road leading from the State Highway to the Dougherty Farm on the north, the state highway leading from Berryville to Millwood on the west, the property of J.F. Spates and the County Road leading from the Old Chapel to the Shenandoah River on the South, containing one hundred and sixty five acres, more or less, and being the same tract of land conveyed to George H. Levi in the deed of partition of the Levi Estate dated August 20, 1925 which deed is of record in Deed Book 16, at page 266, in the aforesaid Clerk’s Office, to which deed reference is hereby made for a more particular description of the property, subject however, to a right of way over this land conveyed to the Northern Virginia Power company by deed of George H. Levi, et als. dated July 5, 1930 of record in deed Book 19, at page 487, in the aforesaid Clerk’s Office. Being the same tract of land which was conveyed to Graham Dougherty and Maria N. Dougherty, his wife, by deed from the Potomac Joint Stock Land Bank of Alexandria, being dated October 15, 1934 and of record in the aforesaid Clerk’s Office in Deed Book 23, page 179.


LESS, HOWEVER, that certain tract of 2.31 acres conveyed by Maria N. Dougherty and Graham Dougherty to Olvia C. Stickels by deed dated December 24, 1951, recorded in the aforesaid Clerk’s Office in Deed Book 41, at page 165, the said Grantors therein being the beneficiaries of a reservation of a first refusal to purchase the aforesaid 2.31 acres, described as follows, to-wit: being at (1) the point of intersection of the center of Road No. 617 with the center of Road No. 618; thence with the center of Road No. 617 leading towards Old Chapel N. 43 deg 45’W. 25.2 poles to (2) a point in the center of the road, opposite a stake on the northeaster side of the road; thence with two new division lines through the Dougherty Farm N 44 deg. 15’ E. 18.3 poles to (3) a stake; thence south 44 deg. E. 15.3 poles to (4) a point in the center of Road No. 618, opposite a stake on the northwest side of the road; thence with the center of the road, south 16 deg. 15’W. 21.1 poles, to the point of beginning, containing 2.31 acres, more or less.


LESS HOWEVER, ALSO, 0.04 of an acre, more or less, of land heretofore conveyed by same Graham Dougherty and Maria N. Dougherty to the commonwealth of Virginia, by deed baring date May 26, 1936 and recorded in the aforesaid Clerk’s office in Deed Book 26, at page 378, reference to which is hereby made for a description thereof.

A deposit in the form of a cashier’s check of $100,000.00, will be required of all bidders at the time of sale, except from a bidder on behalf of the Noteholder or its subsidiary or affiliate.


The Property shall be sold “AS IS” and “WITH ALL FAULTS.” Neither the Substitute Trustees nor the Noteholder make any representations or warranties with respect to the Property including, without limitation, representations or warranties as to the structural integrity, physical condition, construction, workmanship, materials, habitability, fitness for a particular purpose or merchantability of all or any part of such Property nor do the Substitute Trustees make any representation or warranty as to the legality of any subdivision or whether lots, if any, are buildable. The Property shall be sold subject to all recorded and unrecorded liens, encumbrances, easements, rights of way, covenants, conditions, restrictions, and mechanics’ and materialmen’s liens, to the extent any of the foregoing may lawfully apply to all or a portion of the Property being sold and take priority over the liens, assignments and security interests of the Deed of Trust. Title to the Property shall be conveyed by a special warranty deed.


Settlement shall be by cashier’s check or wire transfer of immediately available funds, and shall occur within fifteen (15) days from date of sale, TIME BEING OF THE ESSENCE. Settlement shall occur in the offices of the Substitute Trustees or such other place as mutually agreed upon. The Substitute Trustees reserve the right to extend the date of settlement as may be necessary to complete arrangements for settlement. Real estate taxes and other public charges shall be prorated as of the date the public auction is held, and the purchaser shall be responsible for the payment of such taxes and charges beginning as of the date of such auction. The deposit, without interest, shall be applied to the credit of the successful bidder at settlement.
