Who’s On First?

Recent events involving the Choctaw Electric board of trustees may appear like a game of musical chairs. In truth, it’s serious business. CHAIN OF EVENTS LEADS TO CHANGE

Choctaw Electric Cooperative, its members, employees and trustees have experienced a roller coaster ride of events over the past three years. Below is a snapshot of certain key events.

SPRING 2013 NOVEMBER 2013

Choctaw Electric members organize for greater transparency and openness.

CEC releases financial records showing the board approved a highly controversial $1.9 million annuity to CEO Terry Matlock.

SEPTEMBER 2014

CEC Annual Meeting includes a question and answer session for members. CEC President Mike Bailey reports that Matlock agreed to relinquish the annuity. Funds will be returned to the co-op.

CEC board votes to dismiss Terry Matlock. Joe Harris is appointed as interim general manager.

CEC turns over information to OSBI to investigate alleged wrongdoing within the co-op.

CEC members file a petition calling for the removal of CEC trustees, and a special meeting to elect new trustees. Ten percent (1, 281 or more) of CEC members must sign the petition before it is considered valid. Petition is validated by a special committee comprised of five members of the petition group and five neutral members.

Eight CEC trustees —Mike Bailey, Bob Hodge, Rodney Lovitt, Bill McCain, Henry Baze, Joe Brisco, Larry Johnson and Bob Holley—resign from the board. Buddy Anderson remains the only trustee of the original nine-member board. Six new trustees are appointed according to CEC bylaws. Two seats on the board remain vacant.

Newly appointed trustees meet to discuss the special meeting where members will elect trustees for vacant positions. At this meeting, Buddy Anderson announces his resignation, rendering the petition inapplicable. Rather than appoint people to the vacant positions, new trustees favor a democratic process that allows CEC members to elect their trustees.

Board announces district meeting dates for the purpose of electing trustees in CEC districts A, B and D.
