3. Clarify risk, title, and liability: make it clear when risk transfers, what insurance applies, and how liability is allocated if something goes wrong.
4. Do not overlook premises and equipment agreements: set maintenance and repair responsibilities, insurance obligations, and exit or termination rights.
5. Protect operations and know-how: use confidentiality agreements before sharing sensitive processes, drawings, and commercial information.
