Osterling Abogados acted as legal counsel to Peruvian conglomerate Breca (specifically CPPQ) for the acquisition of Tricolor, a painting company in Chile for US$96.1m. Said company, having approximately 20% of the painting market share in Chile, also owns an important company in Peru called Vencedor, leaving CPPQ with almost 85% of the Peruvian painting market share. Enrique Ferrando, marco Rivera and Ursula Afan Castillo were the Peruvian team in

charge of this deal. Breca won 99.98% of shares in Tricolor, after disbursing $97 million. A few hours after the transaction was closed, there were changes within Tricolor.

Those joining the paint company included Pedro Brescia (Chairman), Alex Fort Brescia, Fortunato Brescia moreyra, Bruno Schenone, Rodrigo Ochagavía, Jorge Eugenin and Jose Luis Orbegoso. LM

observed during 2010 after the acquisition of IUNI, and has already started the process of integration of Unopar. During the due diligence of Unopar, it detected synergies, specially related to scale, that will be reached after the combination of both businesses. Other important opportunities will be explored, such as the expansion of DL centers using the Associated Schools of the Primary and Secondary sector, the entry into new business segments and the launching of new products.
