Das Burgenland Fernsehen GmbH from BEWAG, with a team led by Dr. Gerald Ganzger. Dr. Ganzger commented: “In Phase One we received from BEWAG a selection of relevant documents in a virtual data room. We carried out a due diligence investigation on basis of this data. After submitting a binding bid for the purchase price, schau media Wien GmbH emerged as a potential buyer; in Phase Two, all documents were made available for inspection, after which we could complete the due diligence process. “Our experience as a law firm specialized in media law has benefited us because,
next to the entire corporate law-related assessment and the handling of the sale and transfer contract on the side of schau media Wien GmbH, special attention also had to be paid to the broadcasting field. So, next to due diligence, an investigation of what broadcasting law permitted also had to be carried out and the Austrian Communications Authority had to be notified of the transfer of the shares as well. Besides that, contractual arrangements dealing with advertising partnerships, marketing agreements etc. also had to be made as part of the sale and transfer contract. Here, too, the law firm greatly benefited from its experience in the area of media.” LM

DEAL REPORT BLACKS LEISURE SOLD TO JD SPORTS
Outdoor goods retailer Blacks Leisure Group plc and its main subsidiary, The Outdoor Group Limited, each went into administration on Monday 9 January 2012, and their businesses were sold to JD Sports as going concerns for £20million. The assets acquired comprise principally inventories, fixtures and fittings and
