What is your relationship with the company you advised?

We had served as advisors in a similar capacity on a transaction 6 months prior.

What were the main challenges & complexities for you and your company regarding this transaction?

Understanding the business complexities of this specialized firm in the context of the human capital due diligence (HCDD). We didn’t need to know the business intimately, but it was important that we had an appropriate level of awareness about the business and how it informs our assessment of the company’s executive leadership.

We also had to position the HCDD appropriately to the target company’s leadership so that they engaged in an open and willing fashion. This part of the due diligence balances the data gathered from psychometric assessments along with behavioural interview data. Participants in these processes need to clearly understand the intent of the process and desired outcomes, which is to determine whether investment serves all parties and parties enter with a mutual desire to arrive at the right decision (yes or no to the investment).

How did you overcome these complexities and challenges?

Worked with the PE firms partners to garner a better understanding of the business, how it might fight into an overall portfolio strategy, and what about the business was most appealing. We also sought to understand how they would intend to work with the target’s company’s leadership as part of their management committee or board.

We communicated openly with both the PE firm’s leadership and the company’s leadership around process, outcomes and intent. Everyone appeared to engage openly and with clear intent.

Is this a typical transaction for you? What other types of transaction have you been involved in?

We do a small amount of HCDD work. We advise often on talent acquisition, assessing potential leaders for fit to organization and fit to role, as well as provide executive/ leadership coaching support to ensure successful integration of new executives.

Which sectors do you specialize in?

We currently do significant work in Financial Services, Energy/Utilities, Public Sector, Retail/Consumer Packaged Goods, and Construction.

How has this transaction differed from your previous work?

We provided an organizational/team overview as well as individual assessments. In this, Tandem received a integrated “snap shot” of team functioning (opportunities, risks, synergies) which helped to inform how to lead and manage the relationship most effectively.
