In 2006, the Government updated company law to ensure that it reflects modern needs. It wanted to make it easier to run a company. The Companies Act 2006 has now become law. Its provisions were finally brought into effect in October 2009. The new legislation, as well as introducing a number of changes, allows companies greater flexibility in choosing how they operate. The new legislation focuses primarily on small private companies.

As all ITT events for the past three years have been sell outs, the earlier you find out about events, the more likely it is that you’ll get a place! Over two years ago, ITT set up an “Articles Working Party” under the chairmanship of our President, Trevor Harding, to review our very old Articles and to establish what changes would be required in order to comply with the new legislation. Two years of review by the Working Party resulted in a new set of Articles being presented to the Board earlier this year. At its April Board meeting, the Board voted unanimously to recommend the new set of Articles to the membership. The new and old sets of Articles can be viewed on our website.


Under the new Articles, we can choose to make more use of electronic methods of communication. We can also choose whether or not to hold a general meeting every year. Average attendance at general meetings over the past ten years has been desperately low. Under the new Articles, the Board of Directors may also remove any director who fails to attend 50% or more of requisitioned Board meetings.


If you cannot attend the AGM on 27th July, I urge you to vote in favour of the new Articles and to send us your signed proxy form.
