Company seeks new capital after reportedly spurning Google offer

Groupon, the online-coupon


site that reportedly spurned a $6 billion acquisition offer from Google this month, has filed to raise as much as $950 million fromthe sale ofpreferredshares. The Chicago-based company


amendedits certificateof incorpo- ration, allowing it to issue about 30.1 million shares of Series G preferredstockat aprice of$31.59 a share, according to a filing earli- er this month with the state of Delaware. The financing would value


Groupon at as much as $7.8 bil- lion, exceeding Google’s reported offer, according to VCExperts, a Web site that offers data and anal- ysis for venture capitalists and private equity investors.


Andrew Mason, Groupon’s


chief executive,wrote in a Twitter message Tuesday that his compa- ny was in the process of complet- ing a new round of financing. A company spokeswoman declined to commentWednesday. Groupon is raisingmoney as it


considers an initial public offer- ing. Lastweek, Groupon hired Ja- son Child, Amazon’s former vice president of finance, tobe its chief financial officer. In April, Groupon announced


that it raised $135million froman investment group led by Digital Sky Technologies. The investment inApril gaveGroupon a valuation of about$1.3 billion. “They’ll move into more new


markets, and that either means buying an existing company, which they’ve done in Europe, or establishing the infrastructure they need on the ground, which would mean hiring people,” said Greg Sterling, an analyst at the Internet2Go advisory service in SanFrancisco. Sterling, who said last week that he expected Groupon to file


for an initial public offering next year, now says the funds raised couldpushthat backuntil 2012. “Ultimately, they need to go


public unless somebody’s going to come forward with a super mas- sive offer,”he said. Founded in 2008, Groupon of-

ties fraud and conspiracy to com- mit securities fraud for accepting more than $200,000 over a two- year period from a networking firmthat promises to provide “in- stitutional money managers and


analystswithmarket intelligence” througha“globaladvisoryteamof experts,”Bharara said. According to prosecutors, Jiau


provided detailed financial earn- ings information about multiple publicly traded companies, in- cluding Marvell Technology GroupandNvidia. Bharara said Jiau in May 2008


told two portfolio managers at separate hedge funds about Mar- vell’s quarterly revenues, gross margins and earnings prior to the earnings statements, and did so againthreemonths later. Authorities saidthatduringthe


conversations, several of which were recorded by one of the hedge fund managers, she made clear that she received the inside infor- mationfromaMarvell employee. As a result of the information,


oneof thehedge fundsmademore than $820,000 trading inMarvell securities,prosecutors said. The latest arrest is part of a


widening probe targeting those in the financial services industry who glean secrets from public companies and share them as re- search. Several arrests earlier this


month stemmed from informa- tionthatcamefromPrimaryGlob- alResearch,afirmbasedinMoun- tain View, Calif., that advertised consultingservices toinvestorson industrytrends, issuesandregula- tions, authorities said. Prosecutors several weeks ago


charged an executive at the firm and three “expert consultants” withconspiracy. The latest investigation grew


from what Bharara last year de- scribed as the largest hedge fund insider-trading case in history. That probe resulted in charges against 23 people, alleging that they enabled more than $50 mil- lioninillegalprofits. Arrests in that case included


Raj Rajaratam, a onetime billion- aire hedge fund founder who has insisted that he onlymade trades basedonpubliclyknowninforma- tion.Heisfreeon$100millionbail while awaiting trial. Bharara said investigators for


the first time made extensive use of wiretaps in the insider trading probe, a tactic normally reserved for organized crime and drug in- vestigations.
