Contracts and COVID: Things to think about

As the second wave of COVID-19 in the UK starts to bite, it is clear we may be enduring the consequences of coronavirus for a while. Talk of a vaccine and rapid

testing gives us hope that things will soon start to return to normal but until then, as various levels of lockdown are imposed, there remains a risk that parties to construction contracts will be faced with further delay and/ or disruption to their projects. As such, when
preparing contracts, parties need to give careful consideration to how COVID-19 may impact their works. Te first wave saw sites shut down, shortages of labour, plant and materials, delays in delivery, changed working hours and then necessary health and safety changes on site. Now that we all have some
experience of dealing with the pandemic, parties should be in a position to identify the risks that the pandemic poses, negotiate who bears those risks and draft contract terms to tackle (or at least attempt to tackle!) coronavirus-related issues. Over the past few months,
we have seen the full range of drafting options, from the employer taking on full COVID-19 risk, shared risk approaches, and even contractors being required
to manage the virus with no COVID-19-specific entitlement to time or money. Tere are a few issues
which should be given particular thought: ● Entitlement to additional time and money – think about where the risk lies for likely coronavirus-related delays. For example: – Is there likely to be an issue with procuring materials? Who is responsible for supplying materials? – What happens if there is a labour shortage as a result of positive COVID tests on site? – Change in law provisions – what happens if further
coronavirus legislation
causes delay? ● Sub-Contractors – care should be taken to ensure that a consistent approach is taken throughout the supply chain. Having consistent rights and responsibilities will avoid confusion and potential disputes. Hopefully addressing
the risks at the outset and drafting accordingly will generate goodwill between all parties in the supply chain at the outset of the project and avoid costly disputes further down the line.
