Changes to the BIFA Articles of Association
As indicated in the DG Column on page 3 of this magazine, the BIFA Board of Directors is proposing a change in the BIFA Articles of Association. BIFA does not have shareholders and is termed a
“Company Limited by Guarantee”, so every BIFA Member has one vote at either annual general meetings (AGM) or at extraordinary general meetings (EGM). An EGM will be held in London on 22 May 2018, following the scheduled Board and Council meetings where a vote will be held regarding the new Articles. A proxy form will be posted on
bifa.org So, what are the proposed changes? The original
BIFA Articles dated from the formation of BIFA in 1988 and were derived from the Institute of Freight Forwarders. These have been subsequently amended in 2006 and 2015, but the business of the Association has changed during this time and several anomalies
have been rectified. Some of these may seem quite trivial, such as replacing “he” with “he or she” or changing “Chairman” to “Chair”. However, the changes reflect modern business terminology. The major change is to recognise that the elected
Board members have full responsibility for running your Association as currently the overarching decision body is the Council, although persons attending Council have no legal liability. Another change is to clarify the selection and election of Board Members. This is to align the BIFA Articles with the Companies Act 2006. Copies of the current Articles and the proposed
revised Articles will be published on

Another resounding Liverpool success
The BIFA Liverpool Region 2018 Annual Dinner realised its aim on Friday, 23 February, of providing an enjoyable evening for the 240 guests who attended from around the UK. As much money as possible was
rasised for its chosen charities: the Ellesmere Port Sea Cadets who entertained those present alongside Steve Price, a big stage illusionist and magician; Help for Heroes who care for injured service men and women; and Zoe’s Place,
the hospice which cares for children with life-shortening illnesses and their families. A total of £6,500 was raised.
Next year’s event is already being planned and will be held on Friday, 22 February 2019.
