corp. Energild Drilling corp. has announced that it has acquired Bertram International corporation for a total consideration of $15 million, assuming long term debt and lease obligations of approximately $3 million. Based in Carbon, Alberta, Canada,

Bertram is a diversified specialty drilling company, servicing the energy sector in Canada and the US. Bertram has a current inventory of 119 rigs specially designed for oil sands coring, shot hole seismic and geothermal drilling services markets. Bertram also provides diamond and pipeline drilling services.

The Oil & Gas markets serviced by Bertram continue to show growing signs of improved demand and Energold looks forward to working with Bertram to fully capitalize on its opportunities and provide additional avenues for expansion, both domestically and internationally.

INfINItY BAcks BrAvo

Infinity’s private equity and property team has invested in a new property business Bravo life style (Bls), which is targeting the development and management of studio apartments for rent and aparthotels across london. The investment was completed in

April 2011 and the new business has already made three acquisitions. Further acquisitions are planned and a number of opportunities are being considered.

The deal was led by Infinity partners

Sarah Butler and Les Lang. Butler commented: "We’re very confident of Bravo’s considerable potential for growth and we are delighted to have made such an excellent start. The demand from young professionals for prime location property in the capital is continually growing and the Bravo team has an excellent track record in property management. The deal also reflects one of Infinity’s key strengths: being a business with both property and private equity skills and experience, we are ideally placed to raise funds for, and lead investment in, corporate property transactions."

Nigel Feetham and supported by associate Claire Pizzarello. They were also assisted by David Birnie QC who advised on the Canadian law aspects of the transaction.

Nigel Feetham said: "We understand that

this is the first Gibraltar redomiciliation followed by an amalgamation of two Gibraltar companies. We redomiciled one company into Gibraltar from another European jurisdiction and after it established domicile locally we submitted an application to the Supreme Court for an Order pursuant to the Gibraltar Companies Act for a Scheme of Amalgamation and Arrangement. The Order sanctioning the Scheme was duly granted amalgamating C2 Holdings Limited with C2 (Gibraltar) Limited (members of same group of companies). Gibraltar is increasingly becoming an important jurisdiction for cross border transactions and we are pleased to have been able to assist our clients in this transaction."

Visiting Professor of Nottingham Law School, Nottingham Trent University. He specialises in cross border transactions and is the author (or co-author) of a number of books and articles on international transactions and taxation.
